The First COVID-19 Business Interruption Decision

In what appears to be the first substantive dispositive ruling on a COVID-19 related business interruption insurance claim, a Michigan court has dismissed an insured’s business interruption claim, finding that the insured did not suffer a direct physical loss and no insurance coverage exists for the insured’s claim.
On July 1, 2020, Judge Joyce Draganchuk in Ingham County, Michigan dismissed a claim of First Impression, siding with an insurer’s decision to deny business interruption coverage. The case centered on one key provision in the insured’s policy: “Direct physical loss of or damage to the [insured’s] property” triggers the application of business interruption coverage.
Nick Gavrilides is the owner of two restaurants in Lansing, Michigan. His insurer, Michigan Insurance, a subsidiary of Donegal Group Inc., denied his $650,000.00 claim. Gavrilides’ asserted his business interruption coverage should include COVID-19-related losses.
During a virtual hearing conducted by the court, Michigan Insurance argued the policy did not cover losses stemming from COVID-19. It argued business interruption coverage is triggered by an event that actually alters the structural integrity of the property, which did not occur. Gavrilides, on the other hand, argued non-destructive losses are covered by the policy.
Notably, Gavrilides did not allege his property had been damaged or lost but instead that Michigan Governor Gretchen Whitmer’s stay-at-home order interfered with his use of his restaurant business. In response, Michigan Insurance pointed out the policy was not triggered by loss of use of the property but rather by the loss of or damage to the physical property itself. The insurer maintained, “[T]he insured’s property today exists in the very same condition as [it] existed the day prior to the effective date of the stay-at-home order.”[1] Michigan Insurance’s legal argument relied on standard rules of contract interpretation. Words are not to be added when the language of the contract is clear. Adding the word “use” to the key provision and implying the loss of use of the property would trigger coverage would deviate from this rule; it would be a violation of settled law.
The Michigan court agreed. Judge Draganchuk ruled verbally during the hearing:
[I]t is clear from the policy coverage that only direct physical loss is covered. Under their common meanings and under federal case law … direct physical loss of or damage to the property has to be something with material existence, something that is tangible, … something that alters the physical integrity of the property. The Complaint here does not allege any physical loss of or damage to the property.[2]
In other words, the court ruled that Michigan Insurance’s denial of Gavrilides’ claim was proper because COVID-19 did not affect the actual, tangible structure of his restaurants, and as such, there was no physical loss of, or damage to, the restaurants. Similarly, Judge Draganchuk also dismissed Gavrilides’ claim for coverage pursuant to the civil authority provision in the policy, because this provision also requires the physical loss or damage to trigger coverage.
Exclusionary language may also have barred the claim had the court found that the alleged loss fell within the insurance clause of the policy. The final nail in the claim’s coffin was a virus exclusion contained in the policy, which stated the insurer “will not pay for loss or damages caused by or resulting from any virus, bacterium, or other microorganism that induces or is capable of inducing physical distress, illness, or disease.” Counsel for. Gavrilides pointed to the stay-at-home order, not the virus, for the loss of the use of the property, but Judge Draganchuk was not persuaded.
The Gavrilides decision is the first of its kind to dispose of a business interruption claim, and the stakes are high. More than 450 cases like Gavrilides’ have been filed in state and federal courts across the country, and Congress, legislatures, and regulators are grappling with pressures to retroactively rewrite existing insurance policies to cover COVID-related business losses. For policies similar to Gavrilides’, Judge Draganchuk’s order may set the stage for courts to follow.

Approximately 25 million U.S. adults will stop receiving $600 federal unemployment checks from July 31. Under new proposals by Senate Republicans, those benefits would be slashed 43 percent and replaced by a $200 weekly payment through September. That is set to have enormous financial repercussions for millions of hard pressed Americans who have relied on the $600 payment to make ends meet during the economic havoc caused by the pandemic. If that wasn't bad enough, the Federal Eviction Moratorium has also expired, placing renters with federally backed mortgages at risk of eviction. They account for more than a quarter of all U.S. renters.
White House advisor Larry Kudlow did hint at an extension of the provision during an interview on Sunday but its expiration has allowed landlords to file eviction notices, though people cannot be pushed out of their homes for another 30 days at least. Together with the cut in unemployment benefits, a perfect storm is on the horizon for America's renters. An analysis from global advisory firm Stout Risius Ross estimates that over 40 percent of renter households across the country will experience a rental shortfall during the current crisis with close to 12 million people facing eviction over the coming four months alone. 17 million are set to be impacted over the course of the pandemic.
The analysis is based on Household Pulse Data from the middle of July and it found that the situation differs significantly between states. West Virginia has the highest estimated share of renter households facing eviction at nearly 60 percent while Tennessee, Minnesota, Mississippi, Florida and Louisiana are all at 50 percent or higher. The lowest risk of eviction is in Vermont where 22 percent of people could lose their homes.

Looking for additional insight into the challenges in the industry, CI reached out to an industry insider for their perspective on Fintech lenders letting employees go. Their response was as follows:
“In a way, OnDeck and any other small business lender’s fate was sealed not all because of COVID-19, but largely due to a new competitor coming on the scene with unlimited lending capacity at 0% APR. namely, the United States government. The US government [has] dished out trillions of dollars to small business owners (especially the legit ones) that the only “businesses” left for the picking by OnDeck are un-fundable junk businesses that no one wants to touch. This is a sad situation and unfortunate for those that worked to help millions of American small business owners. In the end, no one can compete with the government’s purse strings.”
The Law of Unintended Consequences
So it appears that the government programs that are designed to backstop the US economy are, unintentionally, adversely impacting online lenders in the SMB sector. This person said the simplest way to put it is this: 7he government is the new lender with trillions of dollars of funding power at virtually no cost to the borrower. How does anyone compete with that?
“In essence, the government’s Paycheck Protection Program (PPP) ultimately kills all small business lenders. There is another unintended consequence: the good, and real businesses are getting PPP funding,” they explained. whereas the bad ones that don’t qualify for PPP are of such poor quality that the OnDecks of the world would not want to lend to them.
“OnDeck might still be getting a ton of applications for funding but most of them are un-bankable. The good PPP program is a bad thing for private small business lenders.”
We asked about other online lenders in the SME sector that may be in a similar situation. This person said that layoffs are occurring across the board, mentioning names like Funding Circle and Kabbage (previously covered), who are laying off hundreds if not thousands across the sector.
“Many will fail in the coming weeks or months. It will be a bloodbath, not too dissimilar to the great downturn in 2008-2009,” this individual warned.
Do you think some of these platforms will be able to survive? Are they able to access some of these programs too?
“Many of these small business lending platforms will not exist in the coming month. First, I think half of the small businesses won’t come back to their pre-COVID level. Some will go out of business completely. What’s interesting is that there is so much disinformation out there and every bank that backs the PPP program has its own underwriting criteria. Why? Because if they don’t underwrite these businesses correctly, they are on the hook to repay some if not all of the bad loans. Some of these banks are saying that FinTechs and lenders are not qualified for PPP. You may also wonder why Cross River Bank got millions from the government. They don’t just dish out PPP loans, they do a lot more than that. The pure lenders may be out of luck and going belly up.”
And what about consumer lenders? A different segment of Fintech that has also been impacted by COVID-19.
“Consumer Lenders [may] have the exact same fate as small business lenders. They are competing with the government again and losing badly. The unemployment checks are raining down and most people make more money sitting at home than go back to work. There are so many unintended consequences, it will take years for us to learn from this. In the near term, smart consumers are using this money to pay off their debt creating a massive wave of prepayments. That sounds great for the consumers, but lenders absolutely hate prepayments, their yield erodes and profit falls. It’s a sad day all around.”

Balboa Capital Survey Reveals 8 in 10 Small Business
Owners Embracing Remote Work Models in 2020
Balboa Capital, a leading direct lender that specializes in small business loans and equipment financing, surveyed business owners to find out how many companies switched to remote work models due to the COVID-19 pandemic, and to see how effective the results have been. The survey, which was sent to a sample of small business owners in a variety of industries during the first two weeks of July 2020, reveals that 8 in 10 companies are embracing remote work models. Additionally, business leaders whose companies have remote workers report improved business outcomes, increased employee engagement, and reduced overhead costs.

Washington, D.C. — New business volume grew 10.5% in the equipment finance industry in 2019, according to the 2020 Survey of Equipment Finance Activity (SEFA) released today by the Equipment Leasing and Finance Association (ELFA). The rise in new business volume marked the 10th consecutive year that businesses increased their spending on capital equipment. The 2020 SEFA covers key statistical, financial and operations information for the $900 billion equipment finance industry, based on a comprehensive survey of 100 ELFA member companies. While the report does not reveal the impact of the COVID-19 pandemic on the equipment finance industry—as it focuses on data from fiscal year 2019—it provides insight into multiple aspects of the industry, as well as the state of the industry preceding the pandemic.
Survey Highlights
Key findings for 2019 as reported in the 2020 SEFA include:
- New business volume grew 10.5% in 2019. The rise was stronger than the 4.4% increase achieved in 2018, and considerably stronger than the growth of the nation’s GDP, reported at 2.3% for 2019 by the U.S. Department of Commerce.
- By organization type, banks saw a 12.8% increase in new business volume, independents saw an 8.4% increase and captives saw a 6.9% increase. By market segment, new business volume grew 20.0% in the large ticket segment, 9.0% in middle ticket and 8.1% in small ticket.
- From an asset perspective, the top-five most-financed equipment types were transportation, IT and related technology services, construction, agricultural and industrial/manufacturing. The top five end-user industries representing the largest share of new business volume were services, agriculture, wholesale/retail, industrial and manufacturing, and transportation.
- Delinquencies edged up in 2019 to 2.1%, from 1.8% in 2018. Delinquencies have been on the rise since 2013 when only 1.2% of receivables were over 31 day past due.
- Charge-offs increased marginally overall to 0.3% of average receivables in 2019.
- Credit approvals remained steady year-over-year, as did the percentage of those approved applications being booked.
- Employment levels grew slightly by 1.2%.
ELFA also released a companion report to the 2020 SEFA called the 2020 Small-Ticket Survey of Equipment Finance Activity. The report, which focuses on small-ticket and micro-ticket equipment transactions among the SEFA respondents, found that new business volume in the small-ticket space grew by 5.8% in 2019.
PricewaterhouseCoopers LLP administered the 2020 SEFA. The results were compiled from surveys sent to 352 eligible ELFA member companies in the first quarter of 2020. A total of 100 companies submitted 2019 U.S. domestic lease and loan data.

From silent slapstick to wartime action to dramatic portraits, Criterion continues to restore and release cinematic treasures. Check out five of their latest classics:
The Cameraman (Edward Sedgwick, 1928): One of the silent screen’s inimitable comic geniuses, Buster Keaton teared through the 1920s with one masterpiece after another. Among the last films where he had full artistic control, this classic comedy offers plenty of his trademark imaginative set-pieces while also providing a self-reflexive study of filmmaking itself. Keaton plays a photographer who takes up motion pictures after falling in love with Sally (Marceline Day), a pretty secretary who works at the newsreel department at MGM Studios. With fierce competition from a veteran cameraman named Staggs (Harold Goodwin), our hero scrambles through the city in desperate search of a news scoop that will save his job, as well as the heart of the heroine. Though directed by Edward Sedgwick, the movie remains a Keaton vision through and through.
Dance, Girl, Dance (Dorothy Arzner, 1940): The only female director to work in the early days of Hollywood, Dorothy Arzner infused her films with vivacious heroines and subversive feminist insights. This entertaining backstage melodrama is among her most interesting films, following a pair of very different women trying to reach their dreams in the competitive world of chorus dancers. A trained ballerina, Judy (Maureen O’Hara) is earnest and demure, hoping to enter the industry without straying from her classical roots. Bubbles (Lucille Ball, in a wonderful performance), on the other hand, is brassy and ruthless, unafraid to manipulate men and use her appeal to achieve her ends. Focusing on characters and emotions usually left on the sidelines of dramas, Arzner fashions a breezy, powerful portrait of compromise and empowerment.
The Great Escape (John Sturges, 1963): Director John Sturges ("The Magnificent Seven") and an all-star cast celebrate the indomitable spirit of Allied forces in this suspenseful adventure yarn. Taken from a real-life story, the film unfolds largely inside a German POW camp in 1942, where escape is said to be impossible. That's a challenge accepted by a group of brave prisoners—including American captain Hilts (Steve McQueen) and British pilot Bartlett (Richard Attenborough)—who bond together to come up with a plan to break out. Pulling together their personal skills, the men forge ahead with a daring escape that will change their lives forever. Also starring James Garner, Charles Bronson, James Coburn and Donald Pleasence, the film has endured both as consistently engrossing entertainment and as an ode to human courage during wartime.
Husbands (John Cassavetes, 1970): One of the patron saints of American indie cinema, John Cassavetes specialized in dissatisfied, often painfully inarticulate characters coming face to face with their desires and fears. In this brilliant comedy-drama, he analyzes the effect a friend’s death has in the lives of three well-off, middle-aged men, Gus (Cassavetes himself), Harry (Ben Gazzara), and Archie (Peter Falk). Suddenly made aware of their own mortality, the three deal with it by carousing and drinking, even at one point taking an impulsivetrip to London. During this impromptu holiday, they encounter fleeting pleasures and lingering sorrows, ultimately confronting the complex tangle of being alive. Presented in the director’s sprawling, two-and-a-half-hour cut, this is an uncompromisingly intimate snapshot that mingles despair and wonder.
An Unmarried Woman (Paul Mazursky, 1978): One of the overlooked names when it comes to standout 1970s directors, Paul Mazursky always displayed a warm, generoustouch for his characters. One of his most critically acclaimed releases, this comedy-drama features a fantastic, Oscar-nominated performance by Jill Clayburgh as Erica Benton. A Manhattan museum worker who finds her life turned upside down when she learns that her husband, Martin (Michael Murphy), is leaving her for a younger woman. Single onceagain in a world of fads and one-night stands, she both struggles with and values her new independence. When she begins a relationship with a loving painter named Saul (Alan Bates), however, a difficult choice must be made. Brimming with tenderness, humor and complex people, Mazursky’s film is a feminist classic.

This Day in History
1498 - Christopher Columbus first sighted the island that he called La Trinidad. The island was inhabited by two tribes: the Arawaks, who were peaceful fishermen and farmers, and the more belligerent Caribs. Upon his return to Spain, Columbus described the islands to the King as very lush and pleasant, and soon the Spaniards began to colonize them. Trinidad and Tobago remained under Spanish rule from 1498 until Feb 18, 1797, when the Spanish Governor, Chacon, surrendered the islands to the British Navy. British rule continued until 1962 when Trinidad and Tobago gained their independence, after having been self-governing since 1956. The chief exports were slaves. Those that were not captured were killed and many maimed in the battles between well-armed soldiers on horses and Indians with primitive weapons at best.

1777 - The Vermont state constitution made it the first state to abolish slavery and adopt universal male suffrage, without regard to property. From 1777 to 1791, Vermont was an independent country, often referred to in the present day as the Vermont Republic. It was followed to a lesser degree by other New England states, which with Vermont were destined to become strongholds of abolitionism in the 1850s. Vermont had declared itself an independent state on Jan. 16, 1777 and has been known for its “independence” ever since.
1777 - The Second Continental Congress passes a resolution that the services of Gilbert du Motier "be accepted, and that, in consideration of his zeal, illustrious family and connections, he have the rank and commission of major-general of the United States." Thus, the Marquis de Lafayette, a 19-year-old French nobleman, was made an officer in the American Continental Army.
1790 - The US Patent Office opened its doors. The first US Patent was signed by George Washington and Thomas Jefferson. It went to Samuel Hopkins of Vermont for a new method of making pearash and potash, useful in many applications, including bleaching cotton.
1792 - The cornerstone of the Philadelphia Mint, the first US Government building, was put in place.
1811 - Jane Currie Blaikie Hoge (d. 1890) birthday, Philadelphia. Author also well-known for caring for orphans. After seeing some of the deplorable conditions suffered by soldiers in the Civil War, she became one of the leaders in sanitary reform (collecting and distributing clothing, providing nursing care, medical and hospital supplies, food, just about everything else for sanitary and health care that the army never supplied to its men). The women of the sanitary reform movement did unbelievably hard and effective work. The women of the commission received adulation immediately after the war and then their names and work were forgotten while the names of battles and how they were fought (usually forgetting the gruesome results) were glorified.

1816 - Lydia Moss Bradley (d. 1908) birthday, Vevay, IN. American financier and philanthropist. Although left a wealthy widow, she increased the estate astronomically through wise investments and real estate transactions that rank her as a major financial genius. Her philanthropic gifts included a home for older women. In 1876, she endowed Bradley University with $2 million and 28 acres in honor of her six children who all died young.

1912 - Birthday of Milton Friedman (d. 2006), a Nobel Price-winning economist, teacher, and author, was born at Brooklyn, NY. In 1946, he became a professor of economics at the University of Chicago, where he did some of his best-known work. The Chicago School, of which he was a member with like-minded scholars, promulgated influential free-market theories. Friedman challenged what he later called "naïve Keynesian" theory with his 1950s interpretations of the consumption function. In the 1960s, he became the main advocate opposing Keynesian government policies and described his approach (along with mainstream economics) as using "Keynesian language and apparatus" yet rejecting its "initial" conclusions. He theorized that there existed a “natural rate of unemployment” and argued that employment above this rate would cause inflation to accelerate. Friedman was an advisor to President Ronald Reagan and British Prime Minister Margaret Thatcher. His political philosophy extolled the virtues of a free market economic system with minimal intervention.

1919 – “The Cowboy,” Curt Gowdy (d. 2006), was born in Green River, WY. Gowdy is known as the longtime voice of the Boston Red Sox and for his coverage of many nationally televised sporting events, primarily for NBC Sports in the 1960s and 1970s. Kisters, advancing ahead of the leading elements of U.S. troops to fill a large crater in the only available vehicle route through Gagliano, was taken under fire by 2 enemy machineguns. Sgt. Kisters and the officer, unaided and in the face of intense small arms fire, advanced on the nearest machinegun emplacement and succeeded in capturing the gun and its crew of 4. Although the greater part of the remaining small arms fire was now directed on the captured machinegun position, Sgt. Kisters voluntarily advanced alone toward the second gun emplacement. While creeping forward, he was struck 5 times by enemy bullets, receiving wounds in both legs and his right arm. Despite the wounds, he continued to advance on the enemy, and captured the second machinegun after killing 3 of its crew and forcing the fourth member to flee. 1944 - Sherry Lansing was born Sherry Lee Duhl in Chicago. After a brief acting and writing career – she was head script writer at MGM for “The China Syndrome” and “Kramer vs. Kramer” – then vice-president of production at Columbia Pictures. 1972 - White Sox Dick Allen becomes the seventh Major Leaguer to hit two inside-the-park HRs in one game. The homers help pace the White Sox over the Twins, 8-1.
1974 - One of the President Nixon's main men, John Ehrlichman was sentenced to prison for his role in the break-in at the office of Daniel Ellsberg's psychiatrist. Ellsberg was the Pentagon consultant who leaked the "Pentagon Papers" (which purportedly told Americans how and why the U.S. really got into the Vietnam War). Ehrlichman also created the White House unit that was called the ‘plumbers' because it was intended to plug leaks.
1976 - A stationary thunderstorm produced more than ten inches of rain which funneled into the narrow Thompson River Canyon of northeastern Colorado. A wall of water six to eight feet high wreaked a twenty-five-mile path of destruction from Estes Park to Loveland killing 156 persons. The flash flood caught camper and caused extensive structural and highway damage. Ten miles of U.S. Highway 34 were totally destroyed as the river was twenty feet higher than normal at times.

1986 - The temperature at Little Rock, AR, soared to 112 degrees to establish an all-time record high for that location. Morrilton, AR, hit 115 degrees, and daily highs for the month at that location averaged 102 degrees.
1987 - The deadliest tornado in 75 years struck Edmonton, Alberta, killing 26 persons and injuring 200 others. The twister caused more than $75 million damage along its nineteen-mile path, leaving 400 families homeless. At the Evergreen Mobile Home Park, up to 200 of the 720 homes were flattened by the tornado.
1987 - Afternoon highs of 106 degrees at Aberdeen, SD, and 102 degrees at Ottumwa, IA, and Rapid City, SD, established records for the date. It marked the seventh straight day of 100-degree heat for Rapid City. Baltimore, MD, reported a record twenty-two days of 90-degree weather in July. Evening thunderstorms produced golf ball size hail at Lemmon, SD, and wind gusts to 80 mph at Beulah, ND.

1988 - Twenty-one cities in the north central U.S. reported record high temperatures for the date, including Sioux City, IA, with a reading of 107 degrees. The reading of 105 degrees at Minneapolis, MN, was their hottest since 1936. Pierre and Chamberlain, SD, with highs of 108 degrees, were just one degree shy of the hot spot in the nation, Palm Springs, CA.
1990 - Nolan Ryan of the Texas Rangers won the 300th game of his career, defeating the Milwaukee Brewers, 11-3. Ryan pitched in the Majors from 1966 until 1993 and finished with 324 wins.

1994 - The San Francisco Giants joined the battle against AIDS by staging their first “Until There's A Cure” Day at Candlestick Park. The Giants wore red ribbons sewn on their uniforms. Together with the visiting Colorado Rockies, they joined 700 Aids volunteers to form a giant human red ribbon on the field. One dollar from the price of every ticket sold went to Bay Area AIDS organizations. The Giants won the game, 9-4, behind home runs by Barry Bonds, Darryl Strawberry and Matt Williams, who hit two.
1994 – Steve Carlton, Leo Durocher and Phil Rizzuto were inducted into the Baseball Hall of Fame.

1997 - In New York City, police seized five bombs believed bound for terrorist attacks on city subways. 2 potential suicide bombers were shot and wounded in an explosives laden Brooklyn apartment. Gazi Ibrahim Abu Mezer (23) and Lafi Khalil (22) were recovering from wounds. In 1998, Khalil was acquitted and Gazi Ibrahim Aby Mezer was convicted of plotting to bomb a subway station.
