Dale Washington Wins the Case Against Wells Fargo

 

“I have the best news for the Wells Fargo Victims:  Their motion for summary judgment was thrown out with the judge indicating Wells Fargo could not be a holder in due course because they did not pay value for the lease - in fact, they appeared to be nothing but a collector for unnamed note holders.

”The Court's opinion was detailed and thoughtful & I will make the transcript available.  We plan to sue Wells Fargo, maybe its attorneys under RICO, Unfair Business Practices, Conspiracy, and malicious prosecution.”

”Defendants successfully resisted Wells Fargo's summary judgment on June 25, 2004, Orange County Superior Court, case 03CC08262.  In denying Wells Fargo's contention that it was a holder in due course, the court pointed out that Wells Fargo had not proven that they paid value for the securities, and cited Wells Fargo's contention that they were an indentured trustee, a servicing agent who was paid a fee for administering the (lease backed) trust (as opposed to a purchaser of securities for value).  The court also commented that it appeared Wells Fargo was a mere collector for note holders, who had not addressed evidence that the underlying lease transaction had never been funded.

(Leasing News has written about leases assigned to Terminal Marketing of New York ( no longer in business ) who never paid the vendor, and often the broker, but sold the lease to Wells Fargo.  Often, Terminal Marketing was making the monthly payments until they went out  business.  As long as they were adding more leases, the discounted transaction created money to make the payments.  When the leasing world turned around, those companies who were playing this game, got caught as the income was not

enough to continue to make the payments plus pay for current transactions, including broker fees.  It was Wells Fargo's position, according to the attorney's involved, that those who referred the lease were financially responsible, even though they never received any remuneration or were involved in the scheme.

 

Their "hell and high water" claim, especially in the State of New York, made the referrer of the lease as responsible as the funder of the lease.  In California, Dale Washington is defending some of those who are claimed "responsible" for the financial liability and here he explains the defense he is taking against Wells Fargo, who he also believes is

guilty of not doing their "due diligence."  Editor)

"New Equipment Fund Raising Equity"

Lease Equity Appreciation Fund II, under the guidance of LEAF Asset Management, has filed with the Securities and Exchange Commission to sell some of its limited partnership interests to raise up to $60 million for equipment leasing. With the sale proceeds, Lease Equity plans to purchase equipment for leasing and to acquire existing equipment portfolios from other lessors. The fund says that about 67 percent of its acquisitions could be financed through securitizations, and says it plans to focus on medical, industrial, and climate control equipment. LEAF has assembled a team of principles and executives with equipment leasing experience to run the fund once it enters the asset-backed securities market. LEAF Vice President of Finance and Treasurer Matthew Goldenberg, who joined the company last October, previously was the director of structured finance at DVI Financial Services. Crit DeMent and Miles Herman, previously of Fidelity Leasing, are slated to be principles at LEAF.

CapitalPro Pays $176,500 Penalty

 

The Arizona Corporation Commission  announced Gary G. Johnson, 50, of Peoria, who agreed to pay a $12,500 penalty and return $164,000 in commissions that he earned from selling unregistered long-term promissory notes issued by CapitalPro Asset Management Fund, a California-based company dealing in equipment leasing.

 

Johnson, who the commission said has been cooperative, could not be reached. Leasing News could find not other information on Capitalpro.

 

The company should not be confused with Capital Pros Network.

 

It was reported that Capitalpro filed bankruptcy in California, but this

could not be confirmed.

Bank Regulators Invite Further Comments

U.S. regulators have added a month to the comment period for a proposal that could make banks accountable for the actions of third-party lenders whose credits they securitize.

 

Market players now have until July 19 to submit comments on the "sound practices guidelines" formulated by the SEC and four bank regulatory agencies. Some industry players hope to use the extra month to raise awareness of the proposal, which has been largely overshadowed by other regulatory issues.

 

The new guidelines are meant to guarantee that banks who securitize other companies' loans through term transactions and commercial-paper conduits - as well as those who participate in credit derivatives - make sure that those lenders follow ethical business practices. Issuers that fully adhere to the guidelines would be shielded from any liability.

 

Banks are worried that the proposal could force them to adopt costly procedures to ensure that they won't be held responsible for the actions of unscrupulous clients. At the same time, many are suffering from a case of "regulatory overload," said Richard Schetman, a partner at Cadwalader Wickersham. "The banks know this is out there and know they should be concerned, but they only have so many resources they can devote" to sparring with regulators, he said.

 

Industry participants pointed out several problems with the proposal in letters submitted to the SEC before the original June 18 deadline. Some complained that the rules aren't clear on what banks would have to do to demonstrate their awareness of other lenders' practices. In some cases, the rules would require issuers to demand proprietary information from clients, said Gwen Ritter, senior accounting advisor at the American Bankers Association.

 

It's also unclear which transactions would be exempt from the rules.

 

In addition, there's some fear that the proposed guidelines call for more than a sound judgment call on an issuer's part. Because the SEC expects issuers to police the knowledge and intentions of loan originators, banks could actually face more - rather than less - legal liability and potential damage to their reputations, the British Bankers Association wrote. The association also maintains that the proposal conflicts with European Commission rules applying to European companies that sell bonds in the U.S., and should be drafted in cooperation with regulators abroad.

 

Deloitte & Touche, meanwhile, said the proposal doesn't define when issuers should seek legal and accounting help.

 

Issuers may be willing to pay small sums to ensure that their collateral information matches up with the data supplied by loan originators, Cadwalader's Schetman said. But some could also decide that the proposal adds too much legal risk, prompting them to seek other funding options. "The rules almost make you a guarantor" of the counterparty or lender participating in a transaction, he said.

 

The "Interagency Statement on Sound Practices Concerning Complex Structured Finance Activities" was issued in May by the SEC, the Comptroller of the Currency, the Federal Reserve Board, the Federal Deposit Insurance Corp. and the Office of Thrift Supervision.

 

The agencies delayed the comment deadline at the request of the American Banker's Association, the Bond Market Association, the International Swaps and Derivatives Association and six other organizations.

Consumer Vehicle Lease Volume Down Another 20% in 2003

 

 

NASHVILLE, Tenn., / -- The Association of Consumer Vehicle Lessors announced that member leasing companies reported a total reduction in new leases from 2.0 million in 2002 to 1.6 million in 2003.  This 19.8% volume decline shows the continued effect of high cash rebates and interest rate subsidies, combined with longer loan terms.  These manufacturer programs have created attractively low monthly loan payments and induced some consumers to finance rather than lease their new vehicles.  Since the peak of leasing in 1999, leasing volume has fallen more than 50% from 3.4 million new leases to 1.6 million new leases in 2003.

 

The 2003 decline hit ACVL captives a little harder than banks:  captive total leases were down 20.5% while bank leases were down 16.3%. The decline was much more dramatic for large lessors than smaller ones:  large lessor lease volume dropped 21.5% compared to 6.0% for medium lessors.  For both the bank and captive lessors, the volume of the larger members declined more than smaller ones such that the average (unweighted) volume decline was 14.9% for captives and 6.4% for banks.

 

"There were a number of factors contributing to lower lease volumes," explained Rob Mize, ACVL President, "including the expansion of the 0% retail installment programs and other similar manufacturer installment sale promotions, continued declines in residual values (causing higher monthly lease payments making leasing less competitive compared to financing), and fewer manufacturer subvented lease programs. However, those trends appear to be abating in 2004 so lease volume may climb this year."

 

ACVL members also reported that their end-of-term residual losses decreased somewhat in 2003.  Residual losses declined to $2,909 in 2003 from a weighted average of $3,269 in 2002, an 11% decrease.   While the declining residual loss level was a welcome development for lessors, consumers who had leased their vehicles continued to reap substantial benefit by having lessors absorb these used car market losses.  While it appears that residual losses will fall dramatically during 2004 and over the following years, leasing still protects consumers from unexpected declines in trade-in values.  Consumers have come to appreciate the protection that leasing affords them from excess depreciation.

 

The ACVL survey highlights a number of areas in which bank and captive vehicle leasing programs differ. For example, the average lease term of bank lessors was 51.4 months in 2003, compared to 38.6 months for captive lessors. This is the largest difference in the 11 years for which lease data has been compiled by the association.  Additionally, on an unweighted basis, more than 20% of new bank leases were longer than 60 months.

 

"Now more than ever, it's important that consumers be informed about the benefits and responsibilities of leasing before they decide whether to lease or buy," said Mize.  "The ACVL web site has a Lease vs. Buy Quiz which has received very positive feedback from customers looking for assistance on that decision," notes Mr. Bernard de Souza, ACVL Customer Service Committee Chairman.

    1736—Birthday of American Patriot Patrick Henry

    1744--  “Yankee Doodle” was written by Dr.Richard Shuckburgh, regimental surgeon to General Edward Braddock, commander in chief of the British forces during the French and Indian War.  The verses were written at Albany, NY, and set to an ancient English tune, “The World Turned Down.” Shuckburgh intended to ridicule the “homely clad colonials,” but the song was taken up by the colonist themselves, and was played at the victory celebration in Yorktown in 1781 when Lord Cornwallis surrended at the end of the Revolutionary War.

    Some of the popular songs during this time were “ The Liberty Song,” also known as “ In Freedom We’re Born,” and “ My Days Have Been So Wondrous Free.”  Perhaps the most popular war song, according to historians, was “Chester,” composed in 1778 by William Billings of Boston, MA.  The song was published in Billing’s “The Singing Master’s Assistant or Key to Practical Music,” printed by Draper and Folsom, Boston. “Chester” contains the following chorus: “ Let tyrants shake their iron rod;/ And Slav’ry clank her galling chains,/We fear them not;/ We trust in God,/New England’s God forever reigns.”

    1832-“ America the Beautiful” was written on a scrap of paper in a half hour by Dr. Samuel Francis Smith, a Baptist minister.  The original manuscript is in the Harvard University Library.

    1848—Wisconsin becomes the 30th state.

    1858-Biurthday of George Washington Goethas, American engineer and army officer, chief engineer of the Panama Canal and first civil governor of the Canal Zone, born at Brooklyn, NY.  Died at New York, NY Jan 21, 1928.

    1858-Birthday of Julia C. Lathorop, a pioneer in the battle to establish child-labor laws.  Julia C. Lathrop was the first woman member of the Illinois State board of Charities and in 1900 was instrumental in establishing the first juvenile court in the U.S.  In 1912 President Taft named Lathorop chief o the newly created children’s Bureau, then part of the US Dept. of Commerce and Labor. In 1925 she became a member of the Child Welfare Committee of the League of Nations.  Born at Rockford, Il, she died there April 15, 1932.

    1862-To set the record straight about a famous Internet Hoax about “Taps., a military signal, indicating “lights out” at night and “farewell” at military funerals.  The internet hoax names the right period of time, but the wrong circumstances. Actually “Taps”was played on the drum for many years, thus its name.  The musical form of “Taps,” which is performed as a bugle call and also as a song.  Union General Daniel Butterfield wrote the music on the back of a torn envelope and whistled the tune to Oliver Wilcox Norton, bugler and aide-de-camp of General Strong Vincent, commander of the  83rd Regiment Pennsylvania Volunteers of the Army of the Potomac. They were resting in camp at Harrison’s Landing on the James River in Virginia, immediately after the seven days of fighting near Richmond.

    1888- World-class athlete Jim Thorpe was born in a one-room cabin near Prague in Indian Territory, now Oklahoma. 

    1905— Archibald Wright “Moonlight” Graham, a real-life ballplayer made famous by his appearance in W.P. Kinsella’s novel, Shoeless Joe, and the movie, Field of Dreams, played in his only major league game.  A substitute outfielder for the New York Giants, Graham entered the game in the late innings, neither coming to bat nor making a fielding play.  Poetic license in the book and film moved this game to 1922.  The story

of his life was otherwise true.

    1922—Composer-pianist Ralph Burns born Newton, Mass.  He wrote Bijou, Early Autumn, many others for Woody Herman before going out on his own as a pianist.

    1924 – Birthday of American poet Cid Corman .Throughout the 1950's and 1960's  Corman's magazine ORIGIN published some of the major works of the Black Mountain poets, as well as other important work, choosing mostly poems not yet readily available elsewhere: the early poetry of Charles Olson, Robert Creeley, and Denise Levertov with the late works of Wallace Stevens and William Carlos Williams.

Corman has published over 70 volumes of poetry, translated several French and Japanese poets, and published four volumes of essays. He has lived in Kyoto, Japan since 1958 where he and his wife run a business, Cid Corman's Dessert Shop.

    1931 - The temperature at Monticello FL hit 109 degrees to establish an all-time record for the state.

    1933-Primo Carnera won the heavy-weight championship of the world by knocking out Jack Sharkey in the sixth round of a fight at Long Island City, NY. Carnera held the title for only a year. He knocked out two contenders and then was defeated by Max Baer in June, 1924.

    1934---After four years in the National Football League, the Portsmouth Spartans were sold to G.A. “Dick” Richards.  He moved the team to Detroit and changed its nickname from the Spartnas to the Lions.

    1936---Birthday of third baseman Harmon Clayton Killebrew, born Payette, ID.

    1939-Benny Carter records theme Melancholy Lullaby ( Vocalion 4984)

    1941—Birthday of crusader and Freedom rider Stokely Carmichael. As a radio newsman I interviewed him by telephone during the March as arranged by Hal Light of San Francisco.  He reported coined the word: “Black Power.” I also interviewed him in Oakland, California. In 1960, Carmichael formed the Student Nonviolent Coordinating Committee. The SNCC was a student desegregation & civil rights group recognized for organizing massive voter registration drives in the 1960s. In 1967, Carmichael became honorary prime minister of the militant Black Panther Party. Carmichael & his then wife, famed South African singer Miriam Makeba, moved to Guinea in 1969. He died of cancer on November 15, 1998.

    1941- In a doubleheader with the Senators, Joe DiMaggio ties and then breaks the American League consecutive game hitting streak of 41 established by George Sisler. In the opener he knots the record with a double off Dutch Leonard, and in the nightcap 'the Yankee Clipper' tops the record with a seventh inning single against Walt Masterson.

    1944- singer Little Eva, whose full name is Eva Narcissus Boyd, was born in Belhaven, North Carolina. She was the babysitter for songwriters Carole King and Gerry Goffin when she recorded their song, "The Loco-Motion." It went to number one in the summer of 1962. The background singers on the record were a group called the Cookies, who had a hit of their own later in '62 with "Chains."

    1952-  I remember this day very well, the start of my teenager years, when the first “Rock and Roll” song to hit Number 1 in the pop charts was “ Rock Around the Clock.,” The recording artists were Bill Haley and the Comets, one of the first all-white acts to play “Rock and Roll.”  It was the title song to the movie, “Blackboard Jungle.” Haley was originally a country and western singer, who my father hired in Chester, Pennsylvania in 1948 to sing “rock-a-billy” to a radio station when he was the general manager.  Haley later learned the electric guitar and the rest is history.

    1988 - Alpena, MI, reported a record low of 39 degrees while Jackson, MS, equaled their record for the month of June with an afternoon high of 105 degrees. Thunderstorms in the central U.S. soaked Springfield MO with 3.62 inches of rain, a record for the date.

    1990-Dave Stewart of the Oakland Athletics pitched a 5-0 no hitter against the Toronto Blue Jays at SkyDome.  Later in the day, Fernando Valenzuela of the Los Angeles Dodgers pitched a 6-0 no-hitter against the St. Louis Cardinals.  This marked the first time in major league history that no-hitters were recorded in each league on the same day and the first time in the 20th century that two pitchers hurled complete-game no-hitters on the same day.

    1994- The U.S. Supreme Court reaffirms its 1973 Roe v. Wade decision on legal abortion, but its 5-to-4 ruling June 29 in Planned Parenthood v. Casey supports a Pennsylvania law limiting a woman's right to abortion. The Court also lets stand a Mississippi law requiring a 24-hour waiting period, which critics believe hindered many poorer women from obtaining legal abortions because they cannot afford overnight stays in cities far from their homes and jobs.

    1999- Singer/songwriter Jewel forgets the words to her song "Little Sister" from her Pieces of You album during a concert in Mountain View, California. She asks the audience if anyone has a copy of her album with the front cover. A boy in the audience pulls it out of his backpack, and holds the lyrics up for Jewel while she performs

    2000- On his much awaited return to Shea Stadium, John Rocker pitches a perfect eighth inning in front of 46,998 booing fans helping the Braves to stop the Mets' winning streak at seven, 6-4. Prior to the game the Atlanta reliever read a statement apologizing for his inappropriate comments about New Yorkers which appeared in the off season in Sports Illustrated.

In the bleak, bleacherless corner
of my rightfield American youth,
I killed time with bubble gum
and baseball cards and read the stats
and saw a sign: your birthday was mine.

And so I dreamed: to rise far
from Kansas skies and fenceless outfields
where flies vanished in the summer sun.
To wake up black in Brooklyn,
to be a Bum and have folks call me Junior
and almost errorless hit .280 every year
and on the field, like you, dance double plays,
make flawless moves, amaze the baseball masses.

You would turn, take the toss from Reese,
lean back and, leaping past the runner's cleats,
wing the ball along a line reeled out
from home and suddenly drawn taut
with a soft pop in Hodges' crablike glove.
And we went wild in Kansas living rooms.

The inning's over. You're in the shadows now.
But summers past you taught us how to play
the pivot (or how to dream of it).
And when one day they put me in at second,
I dropped four easy ones behind your ghost,
who plays a perfect game.

Fast Facts

Jim "Junior" Gilliam played fourteen seasons with the Dodgers starting in 1953 and moving with the club from Brooklyn to Los Angeles in 1958, ending his career with the organization in 1966.
