Washington, DC— The Equipment Leasing and Finance Association (ELFA), which represents companies in the $518 billion equipment finance sector, announces the appointment of Rear Admiral (retired) William G. Sutton, CAE, as President of the ELFA. Ralph Petta, who served previously as interim president of ELFA, was named Chief Operating Officer.

Most recently, Mr. Sutton served as interim President and Chief Executive Officer of the Association, Education and Business Institute, Inc, in Arlington, VA. A former U.S. Navy Rear Admiral with 30 years’ military service, Mr. Sutton previously served as Commerce Assistant Secretary of Manufacturing and Services, a unit of the Department of Commerce’s International Trade Administration. Appointed by President George W. Bush, Rear Admiral (retired) Sutton was unanimously confirmed by the Senate. He joined the Commerce Department after serving for five years as president of the Air Conditioning and Refrigeration Institute (ARI), an association that represents manufacturers of more than 90 percent of North American-produced central air conditioning and commercial refrigeration equipment. Mr. Sutton attained the Certified Association Executive (CAE) credential in 2007 through the American Society of Association Executives.

Lease Fleece Judge Verdict on Citibank Kingpin
Leasing News was never able to get the court files on Citibank vice-president and alleged main source, according to the FBI, who was the conduit to those in indicted in "Operation Lease Fleece" in Southern California. The main culprits are Mark McQuitty and Jim Raeder along with Adam Zuckerman. Mark McQuitty got 24 months, Jim Raeder got one day, and Adam Zuckerman got 37 months. (1) It appears Callahan was sentenced by U.S. District Court Judge Cormac J. Carney to one year probation. Several of those indicted also got off "easy," including the vendors with phony invoices.
John J. Callaghan was one of the 23 who were originally charged with the fraud, basically buying "sales/leasebacks" and non-existent equipment as "new" leases.

6th Bank to Fail has Tier 1 risk-based 11% capital ratio

The five branches of Allendale County Bank, Fairfax, South Carolina were closed with Palmetto State Bank, Hampton, South Carolina, to assume all of the deposits. Founded June 1, 1933, a second branch was opened in Fairfax in 1982, then two in Allendale, in 1981 and 1987, and the fifth in Brunson, 2003. At December 31, 2014, the bank had 21 full time employees.
Allendale County statistics show a declining population going to 9,839 from $10,414 in 2010. Blacks made up 73% of population, with whites 23.7% and Hispanic 2.7%. 36.3% are below poverty level with median household income of $25,566.

The City of Fairfax had a population of 2,024 at the 2010 census, a loss of over one-third of its population of 3,206 from 2000.

Walter R. Harter, chairman, and his brother, John B. Harter, president, ran the bank, which may have been started by their father John Edward Harter. A 44 bed nursing facility was named after him at Allendale County Hospital. The two men's mother recently passed away at age 104, on February 10, 2014. Leasing News was unable to confirm this was a family-owned bank.
Allendale County Bank at the end of last year, the last FDIC records available, had a very healthy Tier 1 risk-based capital ratio of 11.04%. In writing these reports, I have never seen a bank failure with such a high ratio. In addition, year-end 2014 shows a $10,000 profit.
The FDIC estimates that the cost to the Deposit Insurance Fund (DIF) will be $17.1 million.
Perhaps things really deteriorated in the first three months of this year, but the numbers were not posted by the FDIC.
Year-end numbers don’t seem to show much, except the non-current loans really jumped up the last two years, especially high for such a small bank, it was reported year-end that the average loan was $26,003:

Lessee’s Claim That Hurricane Sandy Excused Performance Under Leases Was Rejected by Iowa Federal Court, But Questions Remain As to Lessor’s Compliance with Commercially Reasonable Sale Requirements

I just love it when I get to read about lame excuses lessees use to get out of leases. In today’s case, the lessor, GE Capital, leased industrial copiers to FPL of Long Island in 2011, and right after the lease was booked, Hurricane Sandy hit the area, destroying the business. After the hurricane, FPL stopped making its rental payments. To this day, FPL has made only 19 of the 60 payments it agreed to make.
The lease also contained a repair, or replace clause, in the event that the equipment is damaged or stolen. But FPL never repaired, nor did it replace the copiers. The lessee offered to surrender one of the copiers, and the lessor retrieved and resold the unit.
The first issue, which is ridiculous, is that because Hurricane Sandy hit Long Island, there is no breach of lease. The Federal Judge quickly disposed of this issue, due mainly to the hell or high water clause in the lease. [Ironic that there would be invocation of hell or high water in a case involving a hurricane!!] Thus, the lessee was in fact liable for breach of lease. However, the issue of damages is another question.
GE apparently contended that the lease was a true lease, and therefore Article 2A, not Article 9 applied, and it did not have to comply with the commercially reasonable sale provisions. This was a bit of an eye-roller because the lease had a dollar purchase option. So, the Lessor had to follow the Article 9 rules.
The Lessor then argued that the lessee waived compliance, which again is another eye-roller, because a borrower cannot waive the protections of Article 9, except after default and in writing, which didn’t happen. So, all aspects of a commercially reasonable sale had to be proven.
The Lessor had problems with proving a commercially reasonable sale. Apparently, its evidence consisted mainly of conclusions. In addition, its foreclosure sale notice, while very short, omitted one of the copiers. This wasn’t fatal to the case, it merely shifted the burden of proving a commercially reasonable price from the Lessee to the Lessor. Normally, if the secured creditor establishes a commercially reasonable procedure, a commercially reasonable price is inferred.
What are the lessons here?
• First, for the collectors reading this, when trying to prove a commercially reasonable sale, the Court needs actual evidence, not merely conclusions. Every aspect of the procedure has to be documented and laid out for the Court.
• Second, I’m not wild about making downright bad arguments to a Federal Judge. Here the Lessor argued that a $1 lease was a true lease. Really?
• Third, those hell and high water clauses came to rescue again here.
The bottom line to this case is that the Lessor did a reasonably good job of proving its case here, but there was room for improvement. The Court basically came out and said that it would have granted summary judgment if the papers were better prepared, “I note, however, that if GECC had offered admissible evidence supporting Tyler's affidavit, I would likely conclude that GECC's sale of the copiers was commercially reasonable as a matter of law.”

“What is the Use?”
I have written many times on the importance of knowing the use of the equipment to satisfy tax and legal requirements. It also allows you to select the proper documentation.
If the use has a major impact on the value at termination for a “fair market value” transaction, then you need to have language in the lease that increases the lease payment to compensate for the overuse. Many lessees claim the use is the purpose for today, but as time moves on, the use may increase and have a reduction impact on the equipment value.
In addition, if the use is to contain, maintain, or transport hazardous material, or may be dangerous in the use of the equipment, you may need to add additional language or a specific rider that attempts to protect you from responsibility for any accident, spill, or damage to people or property. Some lessors think they can handle the risk with increased insurance. However, they do not high enough insurance to cover what might happen.
I strongly recommend that understanding the “use” and realizing the impact to the “owner” is paramount. It doesn’t mean you need to walk away. It means you need to make this an Equipment Finance Agreement (EFA), where the user is the owner.
One of the problems is knowing what is hazardous material? You would be very surprised at the variety of hazardous material used in production equipment and transported in over the road trucks.
The term “use” for lessors should include “how” the equipment is use and what processes does it need to operate. If you get a list of chemicals it should be investigated to determine what safeguards are necessary to require in the lease.
Many lessors have been surprised when an accident occurs that puts a lot of pressure on the lessee to pay for the damage done to people or property. Then when the lessee’s assets are exhausted they are looking to anyone to fill the void and the lessor looks very inviting. This is when the insurance should protect the lessor, but it may have reached its limit with the lessee, as well as the administrative and perhaps legal costs involved.

Question: What other types of compensation could a potential employer offer?
Answer: If you are already a member of the workforce at any level, you are aware that a base salary is only part of a compensation package that can be expected. Some companies also provide very generous benefit packages, including stock options, dental care, company cars, telephone, laptop, travel expenses, etc…
Basic compensation can include base salary (and/or draw, if in sales), deferred comp (e.g. 401K), incentive comp (commission, stock, performance bonuses, medical insurance, relocation expenses). Some benefits, such as profit sharing, may only be available to senior-level employees.
As far as paid time off benefits (vacation, personal days, sick days/leave) policies are fairly standard; vacation standards = two weeks for the first three years, three weeks thereafter. Additionally, some companies offer “comp” time in exchange of overtime.

A hook shot kisses the rim and
hangs there, helplessly, but doesn't drop,
and for once our gangly starting center
boxes out his man and times his jump
perfectly, gathering the orange leather
from the air like a cherished possession
and spinning around to throw a strike
to the outlet who is already shoveling
an underhand pass toward the other guard
scissoring past a flat-footed defender
who looks stunned and nailed to the floor
in the wrong direction, trying to catch sight
of a high, gliding dribble and a man
letting the play develop in front of him
in slow motion, almost exactly
like a coach's drawing on the blackboard,
both forwards racing down the court
the way that forwards should, fanning out
and filling the lanes in tandem, moving
together as brothers passing the ball
between them without a dribble, without
a single bounce hitting the hardwood
until the guard finally lunges out
and commits to the wrong man
while the power-forward explodes past them
in a fury, taking the ball into the air
by himself now and laying it gently
against the glass for a lay-up,
but losing his balance in the process,
inexplicably falling, hitting the floor
with a wild, headlong motion
for the game he loved like a country
and swiveling back to see an orange blur
floating perfectly though the net. |

1758-- James Monroe birthday. President Monroe served two terms in office, March 4, 1817 to March 3, 1825
1788- Maryland became the seventh state to ratify the Constitution, by a vote of 63 to 11. Named in honor of England's Charles I's queen, Henrietta Maria. Maryland's capital city, Annapolis, is famous as the home of the U.S. Naval Academy. Maryland, the Free State or Old Line State, calls the black-eyed Susan its state flower, and the Baltimore Oriole is the state bird. Maryland symbols include: dog - Chesapeake Bay retriever; fish - rockfish; crustacean - Maryland blue crab; tree - white oak; insect - Baltimore checkerspot butterfly. "Maryland, My Maryland" is the official state song. Its state motto: Fatti maschii, parole femine. In English: Manly deeds, womanly words.
1789- The most famous of all naval mutinies occurred on board HMS Bounty. Fletcher Christian, leader of the mutiny, put Capt. Bligh and 18 of his loyal followers adrift in the open sea in a 23-foot boat. Miraculously, Bligh and all his supporters survived the 47-day ordeal. Meanwhile, Christian put ashore on Tahiti with the remaining crew. They took off with 6 Tahitian men and 12 women and settled on Pitcairn Island. They burned the Bounty and remained undiscovered for 18 years, when an American whaler, the Topaz, called at the island (1808) and found only one member of the mutinous crew surviving. However, the little colony had thrived, and when counted by the British, number 194 persons.
1828- The birthday of Mifflin Wister Gibbs. In 1873, he became the first black man to be elected a judge in the US, winning an election for City Judge at Little Rock, AR.
1855-The first veterinary college was the Boston Veterinary Institute, Boston, Ma. The first president was Daniel Denison Slade, MD. Courses were giving in anatomy, physiology, chemistry, pharmacy, and the theory and practice of medicine and surgery.
1884-Birthday of banjo player Harry Reed, Monroe County, West Virginia.

1899 - A tornado struck Kirksville, MO, killing 34 persons and destroying 300 buildings.
1899- Cameraman G.W. "Billy" Bitzer filmed Professor Leonidas and his troupe of dogs and cats in the film short “Stealing a Dinner.”

1921 - A severe hailstorm in Anson County, NC, produced hail the size of baseballs. Gardens, grain fields and trees were destroyed. Pine trees in the storm's path had to be cut for lumber because of the hail damage.
1926 -- Birthday of Harper Lee, Monroeville, Alabama. American author famous for her Pulitzer Prize winning race relations novel, “To Kill a Mockingbird”. An international bestseller adapted to the screen in 1962, she modeled the boy Dill after her childhood next-door neighbor, author Truman Capote.

1940 - On Bluebird Records, Glenn Miller recorded his signature song, "Pennsylvania 6-5000". According to the original label, on the old 78-RPM disk, it was record number 10754.
1941—Birthday of actress-singer Ann-Margaret Olsson.
1942 - A destructive tornado swept across Rogers County and Mayes County in Oklahoma. The tornado struck the town of Pryor killing 52 persons and causing two million dollars damage.

Rank and organization: Private, U.S. Army, Company A, 6th Armored Infantry, 1st Armored Division. Place and date: Near MedjezelBab, Tunisia, 28 April 1943. Entered service at: Carteret, N.J. Birth: Sedden, Poland. G.O. No.: 24, 25 March 1944. Citation: For distinguishing himself conspicuously by gallantry and intrepidity at the loss of his life above and beyond the call of duty in action with the enemy on 28 April 1943, in the vicinity of MedjezelBab, Tunisia. When the advance of the assault elements of Company A was held up by flanking fire from an enemy machinegun nest, Pvt. Minue voluntarily, alone, and unhesitatingly, with complete disregard of his own welfare, charged the enemy entrenched position with fixed bayonet. Pvt. Minue assaulted the enemy under a withering machinegun and rifle fire, killing approximately 10 enemy machine gunners and riflemen. After completely destroying this position, Pvt. Minue continued forward, routing enemy riflemen from dugout positions until he was fatally wounded. The courage, fearlessness and aggressiveness displayed by Pvt. Minue in the face of inevitable death was unquestionably the factor that gave his company the offensive spirit that was necessary for advancing and driving the enemy from the entire sector.
1945--RUIZ, ALEJANDRO R. RENTERIA Medal of Honor
Rank and organization: Private First Class, U.S. Army, 165th Infantry, 27th Infantry Division. Place and date: Okinawa, Ryukyu Islands, 28 April 1945. Entered service at: Carlsbad, N. Mex. Birth: Loving, N. Mex. G.O. No.: 60, 26 June 1946. Citation: When his unit was stopped by a skillfully camouflaged enemy pillbox, he displayed conspicuous gallantry and intrepidity above and beyond the call of duty. His squad, suddenly brought under a hail of machinegun fire and a vicious grenade attack, was pinned down. Jumping to his feet, Pfc. Ruiz seized an automatic rifle and lunged through the flying grenades and rifle and automatic fire for the top of the emplacement. When an enemy soldier charged him, his rifle jammed. Undaunted, Pfc. Ruiz whirled on his assailant and clubbed him down. Then he ran back through bullets and grenades, seized more ammunition and another automatic rifle, and again made for the pillbox. Enemy fire now was concentrated on him, but he charged on, miraculously reaching the position, and in plain view he climbed to the top. Leaping from 1 opening to another, he sent burst after burst into the pillbox, killing 12 of the enemy and completely destroying the position. Pfc. Ruiz’s heroic conduct, in the face of overwhelming odds, saved the lives of many comrades and eliminated an obstacle that long would have checked his unit’s advance.
1946-- Quebec pop singer Ginette Reno was born in Montreal. She performs equally well in both French and English, and in 1972, she won first prize for performance at the Tokyo International Song Festival, singing Les Reed's "I Can't Let You Walk Out of My Life." Reno's recording of "Second Hand Man" was popular in the early '70s.

1948- Yom Ha'atzma'ut (Independence Day) celebrates the proclamation of independence from British mandatory rule by Palestinian Jews and establishment of the state of Israel and the provisional government May 14, 1948.

1960 --- The 100th General Assembly of the Southern Presbyterian Church (PCUS) passed a resolution declaring that sexual relations within marriage -- without the intention of procreation -- were not sinful.
1961-- Five days past his 40th birthday, Warren Spahn becomes the second oldest pitcher (the oldest: Cy Young -41 years, three months) to throw a no-hitter. Henry Aaron knocks in the game's only run as Braves beat the Giants at County Stadium, 1-0.
1962 - Jim Grelle became the fourth American runner to break the four-minute mile with a mark of 3 minutes, 59.9 seconds in Walnut Creek, California.

1967 - Muhammad Ali, whose real name was Cassius Clay, refused to join the United States Army. Critics and supporters have discussed the boxing champ’s refusal to serve in the armed forces for years. Although Ali refused because of religious beliefs, his world heavyweight crown taken from him as a result of his actions.
1967-- Gary Lewis and the Playboys received their only gold record - for "This Diamond Ring."
1968-The rock musical "Hair" opened at the Biltmore Theatre on Broadway. "Hair," the first musical to successfully adapt rock music to the stage, had already played in an off-Broadway version, which opened in October 1967. The melodic soft-rock score by Montreal native Galt MacDermot, with lyrics by Gerome Ragni and James Rado, appealed to people of all ages. The show ran for 1,729 performances, finally closing on July 1st, 1972. By that time, the original cast recordings of the off-Broadway and Broadway versions of "Hair" had sold a total of more than five-million copies. As well, there were numerous hit songs from the show, including the medley of "Aquarius-Let the Sunshine In" and "Good Morning Starshine."
1971- Samuel Lee Gravely appointed first Black admiral in US Naval history.
1971-- Braves' outfielder Hank Aaron joins Babe Ruth and Willie Mays as the only major league player to hit 600 home runs. His historic homer, a 350-feet drive over the left field wall, comes off Gaylord Perry in the third inning of a 6-5 ten-inning loss to the Giants at Atlanta's County Fulton Stadium.
1971-Barbara Streisand gets a gold album for "Stoney End," one of her rare forays into rock music. At 28 years old, Streisand is intent on changing her image and takes to lighting joints onstage in Las Vegas.
1974 - No. 1 Billboard Pop Hit: "Loco-Motion," Grand Funk. This marks the second time the song hits No. 1. The original 1962 dance version is performed by Little Eva. It is covered again in 1988 by Kylie Minogue, who takes it to No. 3.

1987 - Forty-two cities in the western and south central U.S. reported record high temperatures for the date. The afternoon high of 87 degrees at Olympia WA was an April record, and highs of 92 degrees at Boise ID, 95 degrees at Monroe LA, and 96 degrees at Sacramento CA tied April records. (The National Weather Summary) More than 300 daily temperature records fell by the wayside during a two week long heat wave across thirty-four states in the southern and western U.S. Thirteen cities established records for the month of April.
1990 – “A Chorus Line” closed on Broadway at the Shubert Theatre. It broke the record for number of performances with 6,237. The musical, written by James Kirkwood, Nicholas Dante, Marvin Hamlisch, and Edward Kleban, opened on July 25, 1975, and was an instant hit. It won the Tony award for Best Musical. “A Chorus Line's” cast, during the 15-year period, employed 510 different members.

1990-Thunderstorms produced severe weather in the southeastern U.S. during the day. Severe thunderstorms spawned four tornadoes, including one which injured four persons at Inman SC. There were also more than one hundred reports of large hail and damaging winds, with better than half of those reports in Georgia. Strong thunderstorm winds injured four people at Sadler's Creek SC. In the northeast, twenty-nine cities reported record high temperatures for the date as readings soared into the 80s and lower 90s. Highs of 88 degrees at Binghamton NY, 94 degrees at Buffalo NY, 89 degrees at Erie PA, 90 degrees at Newark NJ, 93 degrees at Rochester NY and 92 degrees at Syracuse NY, were records for the month of April.
1994- Northwestern University announced that the so-called biological clock, that gene governing the daily cycle of waking and sleeping called the circadian rhythm, had been found in mice. Never before pinpointed in a mammal, the biological clock gene was found on mouse chromosome #5.
1999 - The results of a study on the occurrence of drug references in movies and music are released by the Clinton Administration's top drug enforcement officials. The study finds that 27% of the most popular sound recordings from 1996 and 1997 "contained a clear reference to either alcohol or illicit drugs.
2005 - E.Y. "Yip" Harburg, writer of such well known songs as "Over the Rainbow" from "The Wizard of Oz" and (with Jay Gorney) "Brother, Can You Spare a Dime?", is immortalized on a U.S. postage stamp during a ceremony in New York.
2011 – Jaycee Dugard’s kidnappers plead guilty. Phillip Garrido, 60, and his wife Nancy, 55, plead guilty to the 1991 kidnapping of 11-year-old Jaycee Dugard. The Garridos held Dugard captive at their Northern California property for 18 years, during which time Phillip Garrido fathered two children with her. The 29-year-old Dugard was rescued, along with her daughters, then ages 11 and 15, in 2009.
