GE Capital Forms Four Divisions
General Electric Capital is so large it is not uncommon for a West Coast operation to find its nearest competitor in bidding a transaction is another GE Capital company located back East, or vice-versa. The company is so large it often finds itself bidding against itself.
GE Chairman and CEO Jeff Immelt announced organization changes that will result in GE Capital, the Company's diversified financial services business that may change some of this internal competition.
Effective Thursday, there will be four separate companies:
1) GE Commercial Finance ( formerly GE Capital )
2) GE Insurance.
3) GE Consumer Finance
4) Equipment Management.
Each of the businesses will report directly to Immelt and GE Vice Chairman Dennis Dammerman, who has oversight for GE Capital.
This division is not uncommon in the finance industry, as witness the CIT Group before it was purchased by Tyco, and may remain in the same operation today.

### Press Release ##############################
Leasing News readers will remember when Randy Anderson was “cut” from Capital Stream and Jim Buckles took over the former System 1 accounts, including service. Randy studied at Wildwood Financial to go into the leasing broker business out of his home town, primarily in agricultural. Many of the graduates stay in the field, but it was a short time later that he wound up working for Trinity Capital, in San Francisco, commuting for four hours a day and more from his home in Modesto, often daily, we are told.
Leasing News wishes him the best of luck in a software field he certainly knows very well.

Beneath the Merger of PacWest and CapitalSource
Continuation of Branch Expansion & Loan Activity
According to a press release announcing the merger of: "PacWest and CapitalSource will merge in a transaction valued at approximately $2.3 billion. The combined company will be called PacWest Bancorp and the combined subsidiary bank will be called Pacific Western Bank. The CapitalSource national lending operation will continue to do business under the name CapitalSource as a division of Pacific Western Bank.
The ownership will be 45% PacWest, 55% CapitalSource. There is a termination provision in here with a 19.9% stock option. The board will consist of 8 people from PacWest and 5 people from CapitalSource. John Eggemeyer, current Chairman of Pacific Western, will be the Chairman with Matthew P. Wagner as CEO.
PacWest Bancorp was formerly known as First Community Bancorp., a Rancho Santa Fe-based bank holding company with $4.6 million in assets that merged First National Bank and Pacific Western National Bank, renaming them Pacific Western Bank, originally organized October 22,1999, and based in San Diego, California. First Community grew at the first of the year by buying Foothill Independent Bancorp, Harbor National Bank.
Today PacWest continues in the same mode, buying Security Pacific Bank, Los Angeles, 2008, Affinity Bank, Ventura, California 2009, Los Padres Bank, Solvang, California 2010, April 3, 2012, Celtic Capital Corporation, Santa Monica, California, First California Financial Group, Westlake Village, 2012, as well as Marquette Equipment Finance in January 3, 2012 changing its name to its own Pacific Western Equipment Finance on March 25, 2012.
http://www.nasdaq.com/symbol/pacw#ixzz2aNIhxkOz
The website states :Through our subsidiaries, BFI Business Finance and Celtic Capital Corporation, and our divisions, First Community Financial and Pacific Western Equipment Finance, we also provide working capital financing and equipment leasing to growing companies located throughout the United States. To them you now can add CapitalSource.
Matthew P. Wagner is Chairman and Chief Executive Officer of Pacific Western Bank and CEO of PacWest Bancorp, the holding company for Pacific Western Bank. Prior to joining PacWest in 2000, Mr. Wagner was President and Chief Executive Officer of Western Bancorp from 1996 until 1999, when Western Bancorp was acquired by U.S. Bancorp. Prior to joining Western Bancorp in 1996, Mr. Wagner served as an executive vice president with U.S. Bancorp in Minneapolis, Minnesota, from 1990 to 1996, and as a senior vice president from 1985 to 1990.
In the conference call following the announcement, as recorded by SeekingAlpha, Wagner was remarked he didn't want to get involved in a bank having tough loan growth: "Most of the community banks you are looking at today, you've got anywhere from a 40% to 70% loan-to-deposit ratio...You've got a big-buying portfolio that I don't need. I am going to end up with a bunch of excess deposits."
""With CapitalSource and their superior loan-generation platform, I've got that now," Wagner says. "If we buy a company with an under-leveraging balance sheet, I've got the ability to leverage that now into good, high-performing loans."
http://seekingalpha.com/news-article/7122042-pacwest-bancocp-and-capitalsource-inc-agree-to-merge
While the merger is good in apparently all respects, it also adds to the branch locations of Pacific Western Bank. Look at the numbers:
FDIC.gov March 31,2013, Pacific Western had 991 full time employees at 89 offices (only duplicate cities appear to be two offices in Westlake Village). CapitalSource offices are not located in other locations which are in San Diego, 17 offices, San Francisco, 2 offices, San Luis Obispo, 7 offices, one in San Mateo County, 4 in Santa Barbara and 11 in Ventura County. Wagner stated in his conference many of PacWest customers were age 60 and heavy into CD’s. Whether the marketplace or customer base is similar may depend on the location of the branch itself.

The New Direction of CapitalSource
Will Matthew Wagner follow John Delaney’s footprints?
by Christopher Menkin
In comparing the financial numbers with PacWest above, it looks like the merger should have been the other way---but the alignment of board of directors as well as executive management shows Matthew Wagner is in charge to get it done. While the ownership will be 45% PacWest, 55% CapitalSource, the board will consist of 8 people from PacWest and 5 people from CapitalSource. John Eggemeyer, current Chairman of Pacific Western, will be the Chairman with Matthew P. Wagner as CEO. Sounds more like a PacWest Show to me.
With all the new middle market leasing companies, regional bank and now community banks getting more into the installmentlending market place, competition is keen. The trend has been separate divisions for bank finance and leasing separate divisions and not branches fighting in the trenches. Perhaps Matthew Wagner sees that, and as he noted, while the new branches are a plus, the plum is the CapitalSource finance/leasing division.
CapitalSource was founded in 2000 by John Delaney and Jason Fish with an initial capitalization of more than $500 million, which at the time was the largest private capitalization for a finance company.[4]
In 2003, CapitalSource completed an IPO and began trading on the New York Stock Exchange (NYSE) under the symbol CSE. In 2006, CapitalSource completed its conversion to a Real Estate Investment Trust (REIT), which enabled the company to remain competitive in a highly-liquid market due to the tax benefits of REIT status.
The company pursued deposit-based funding for nearly three years before forming CapitalSource Bank, a de novo industrial bank, in 2008. The same year it purchased various deposits and assets, including 22 retail branches, from Fremont Investment & Loan. The operations of CapitalSource Bank commenced on July 28, 2008.

In the wake of the 2010 Census, Maryland adopted new boundaries for the state's 8 new Congressional districts on October 20, 2011. Delaney took a leave of absence in January, 2012 from CapitalSource after being encouraged by a list of who’s-who in both the local and national Democratic party. The state adopted a new map for the nearly 200 state legislative districts on February 24, 2012.
He first won the five-candidate Democratic primary, then on April 3, defeated the 10-term Republican incumbent by 59%-38%; the day after he resigned as chairman of CapitalSource. He assumed his office January 3, 2013.

The Problem with Accepting Late Payments
By Tom McCurnin
Leasing News Legal News Editor
A recent New York case, involving Twin Cities Financial underscores the problem with accepting late payments, after a Notice of Default has been issued and served.
In the case of TCF Equipment Finance, Inc. v. New Door of New York Corp., Slip Copy, 2011 WL 5041795 (N.Y. Sup. 2011), the Kings County Supreme Court was faced with a lease of woodworking equipment. The Debtor failed to pay and TCF issued, and the Debtor received, a Notice of Default for non-payment. However, after the Notice of Default, the Debtor made two payments aggregating about $18,000. TCF cheerfully cashed the check. However, unsatisfied with the response of the Debtor, TCF instituted a replevin action against the debtor for the equipment. The Debtor, of course, submitted affidavits as to conversations with the collections department as to waving the default, the content of which was denied by TCF.
The Court had no problem concluding that the lessor waived the default by accepting the late payments and denied the replevin.
Since TCF was located in the State of Minnesota, that law applied, and the Court construed the Minnesota case of Cobb v. Midwest Recovery Bureau Co., 295 N.W.2d 232 Minn. 1980). That case stands for the proposition that a creditor which routinely accepts late payments waives the default, thus requiring the creditor to send a new Notice of Default which explicitly states that despite the receipt of late payments, a default still exists.
This principle that a creditor risks waiving its default by accepting payments after a Notice of Default is well established, but not without controversy. In many states obtaining a waiver of default based on receipt of late payments is a tough row to hoe. See Speigle v. Chrysler Credit Corp., 56 Ala.App. 469, 323 So.2d 360 (Ala. 1975); Harty v. Underhill, 710 S.E.2d 327 (N.C.App. 2011).
Despite the dueling authority, any leasing company which accepts payments after a default has been declared risks waiving that default unless a new Notice of Default is issued.
Leasing attorneys drafting documents should include provisions which allow receipt of late payments without waiving a default. A good example of that kind of clause is contained in Ford Motor Credit Co. v. Ryan, 189 Ohio App.3d 560, 939 N.E.2d 891 (Ohio App. 2010).
For leasing professionals, the simple lesson of the TCF case is that the collections departments should not refer a case to litigation if the lessor has accepted payments after a Notice of Default was issued. The remedy is simply to issue another Notice of Default to the Debtor before sending the matter out for litigation. This simple step of getting one’s ducks in a row can save months of precious time and significant attorney fees.

Leasing 102
by Mr. Terry Winders, CLP
Making Money by Leasing
A fair amount of vendors and lease sales people think there is more money to be made by retaining leases instead of selling them off to a funding source for a fee. They would like to think that the margins they negotiate with the lessee that is retained by the funding source is loaded with profits.
I am asked on many occasions to help those who want to convert a sales portfolio into a lease portfolio so they can reap the profits imbedded within. However one should consider the basic costs of engaging in a leasing activity. Also there is the requirement to cover tasks that are not involved in a sales effort.
I am not saying that the sales effort is not the most important factor in having a lease portfolio because without a successful marketing effort the quality and volume of the portfolio would not exist. No marketing effort, no leasing company.
To start retaining lease business the first requirement is to have a current bookkeeping system that can keep track of the portfolio and allow for proper records. In addition someone is required to run the bookkeeping system and provide all of the duties and tasks required like billing, collecting, and day to day lessee inquires. Also a lease loss reserve needs to be established which will subtract from earnings and over time while it is being created you will have to take actual losses that will also reduce earnings.
Additional personnel are necessary for back office support like verifying insurance and filing of liens and credit decisions. These duties should be handled by a professional to limit losses and provide guidance on documentation.
There are companies who offer “back office” service to take over this function, including billing, collecting, day to day inquiries, and even bookkeeping. (1)
Income from a lease is spread over the term and therefore it takes a long time and a lot of volume to develop a monthly income to cover monthly expenses. For instance a $10 million volume in the first year spread over the twelve months with a 4% markup would only build up to $57,000 a month by year’s end before covering the lease loss reserve and all other expenses. It is considered that to cover the first years expenses it would take a capital base of $600,000 before break even could be accomplished.
Generally speaking it is wise to combine the retention of leases with a well-developed brokerage operation to develop the portfolio over time instead of just putting all the business on the books. In addition having several funding sources to handle a broad range of credits helps you to retain only the best credits to build your own business.
Vendors have the advantage of taking border line credits because they can remarket the repossessed equipment much faster and cheaper that you can.
There are some issues with a new portfolio that you have to consider. For example, there is more income and a faster growth if the transactions are of longer terms. However, a shorter term allows for a faster development of the lease loss reserve and a faster reduction of equipment risk or loss.
In the first few years of a lease portfolio losses will look low because of the growth rate so you need to watch collections very closely. It takes about three to four years to finally reach conformity with income and expense.
The timing of true profitability is a function of type to leases you retain and the margins in those deals. It is a long, long procedure and needs proper management and watching expenses very closely.

Black Taiwanese Dog
San Francisco, California Adopt-a-Dog
“This handsome, silly pup is quite mature for his age! Ray is about 32 pounds and just parted with his brother who was adopted by a wonderful family in SF. Ray is doing very well without his leader/brother, but since he is such a social and playful guy, Ray would do best and blossom in a home with another dog. Young Ray is about 7 months of age and does not have much more growing to do. He is a typical Taiwanese dog that does not have a specific breed appearance, but as close as we can describe he must have black Labrador in his heritage. He and his brother were flown to the US by a Taiwan rescuer that said they were the only two survivors from a litter that sadly had been poisoned.
“Ray’s personality is of a survivor’s nature because he has adapted very well to all kinds of situations like riding in a crate across the Pacific Ocean for 14 hours, playing at the dog park, living in our home with numerous other adult dogs, mastering local walking trails, and riding in the car. He does this all very courageously and with great enthusiasm and joy. “Ray-boy” says California is a pretty cool place to live! And he sure is glad he made the long journey. He is crate-trained, house trained, neutered, up to date on shots and ready to find a forever home!
“RAY NEEDS TO GO TO A HOME WITH ANOTHER DOG, as he does extremely well with a dog and was fostered with his brother since he was a puppy.”

Baseball Poem
Polo Grounds
Rolfe Humphries
Time is of the essence. The rhythms break,
More varied and subtle than any kind of dance;
Movement speeds up or lags. The ball goes out
In sharp and angular drives, or long slow arcs,
Comes in again controlled and under aim;
The players wheel or spurt, race, stoop, slide, halt,
Shift imperceptibly to new positions,
Watching the signs according to the batter,
The score, the inning. Time is of the essence.
Time is of the essence. Remember Terry?
Remember Stonewall Jackson, Lindstrom, Frisch,
When they were good? Remember Long George Kelly?
Remember John McGraw and Benny Kauff?
Remember Bridwell, Tenney, Merkle, Youngs,
Chief Meyers, Big Jeff Tesreau, Shufflin' Phil?
Remember Mathewson, Ames, and Donlin,
Buck Ewing, Rusie, Smiling Mickey Welch?
Remember a left-handed catcher named Jack Humphries,
Who sometimes played the outfield, in '83?
Time is of the essence. The shadow moves
From the plate to the box, from the box to second base,
From second to the outfield, to the bleachers.
Time is of the essence. The crowd and players
Are the same age always, but the man in the crowd
Is older every season. Come on, play ball!

This Day in History
1603 - Bartholomew Gilbert was killed in the colony of Virginia by Indians, during a search for the missing Roanoke colonists.
1776 - Silvestre de Escalante and Francisco Dominguez, two Spanish Franciscan priests, leave Santa Fe for an epic journey through the Southwest. Escalante and Dominguez hoped to blaze a trail from New Mexico to Monterey, California, but their main goal was to visit with the native inhabitants and convert as many as possible to the Catholic faith. Traveling through high mountain passes, Escalante and Dominguez began to encounter fierce snowstorms. Accustomed to desert living, the priests were unequipped to deal with snow and bitter cold, and they soon ran short of provisions. They abandoned the goal of reaching California and headed back for Santa Fe. During the long journey home, they very nearly starved to death. The men ate their horses first. When the horseflesh was gone, they ate only prickly pear cactus. On January 2, 1777, the exhausted men staggered into Santa Fe. They had traveled nearly 1,700 miles in just 159 days through some of the roughest country in the southwest, yet all nine members of the party made it home safely. Escalante's written account of the expedition became an essential guide to future explorers.
1810-The third U.S. Census recorded a population of 7,239,881, an increase of 1,931,398 over 1800. Black population rose by 481,361 to 1,378,110. Of this total, 186,746 were “free citizens,” a group omitted in the 1800 census. The center of population moved to a point 40 mils northwest of Washington , D.C.
1846 - Sailors and Marines from U.S. sloop Cyane capture San Diego, CA.
1848-Harris Treaty with Japan , opening commerce while the Japanese

1849-Mass meeting at Rose's Bar on the Yuba River about Col. Thomas Jefferson Green's slaves working in the gold fields. A resolution was passed that said "that no slave or negro should own claims or even work in the mines." The meeting demanded that the slaves be gone by the next morning.
1864-Both the Democratic and Republican Convention were looming ahead. The presidential election while the Civil War was being fought posed special problems. in the North, there was considerable dissatisfaction with the progress being made in defeating the Confederacy, so President Abraham Lincoln did not think his chances of reelection were good. The Democrats were split between those who supported the war and those who wanted peace at almost any price. The Democratic nominee was General George B. McClellan, commander of the Union Army, who had let several opportunities for victory slip away. The Democratic platform called for peace through reunification of the states, but did not say how this was to be done. Fortunately for Lincoln and the Republicans, several important military victories perhaps influenced the outcome, such as the Battle of Mobile Bay in August, Sherman taking Atlanta , GA in September, and General
Sheridans significant victory in October (famous at the time become the poem,” Sheridan 's Ride” by Thomas Buchanan, which dramatized the general's return to the field. Lincoln beat McClellan with 212 electoral votes to his 21, popular vote 2,216,067 to McClellan, 18,808, 725, as key states all went to Lincoln . General Sherman in November marched to the sea with 62,000 men, destroying everything useful to the Confederates and raving the countryside. The South was cut in two. In less than six months, General Lee would surrender to General Grant and the ware was virtually ended. Five days later President Lincoln was assassinated. Andrew Johnson became president.

1932-Birthday of Nancy Landon Kassenbaum, U. S. Senator from Kansas 1979-1996 and daughter of Alf Landon, the 1936 Republican nominee for president. Although a much-admired fiscal conservative, when she became chair of the Senate Labor and Education Committee in 1994, she admitted paying only $5,075 in taxes on an income of $92,000 and refused to show her tax return. She did not seek reelection. Soon after she left office she married a Republican former cabinet member under the Nixon administration Baker. She was appointed head of a committee to study the training of women following the sexual harassment scandals and recommended separate training facilities rather than insisting on men behaving. Predictably she came down on the side of separate training for men and women, a proposal that was ignored.
1932 - The Great Depression sent poverty-stricken Americans scrambling for any available source of income. Veterans of World War I certainly felt pinched, and cast about for ways to haul in cash, but, unlike Americans who hadn't fought in the war, the veterans seemingly had a solution: in the wake of the war, the government had promised to hand out handsome cash bonuses to all servicemen. The catch was the bonuses were to be paid out in 1945. In dire need of money, veterans called on legislators during the spring and summer of 1932 to speed up payment of the bonuses. President Herbert Hoover ordered the ousting of the vets who had decamped in government quarters. When the eviction proceedings turned ugly, and two veterans were killed, Hoover called on the army to disperse the remaining Bonus protesters. General Douglas MacArthur, and his young assistant Dwight Eisenhower, marshaled troops, tanks and tear gas in their war to send the stragglers home. Duly persuaded by this gross show of force, the remaining members of the Bonus Army headed home on July 29, 1932.
1936-Birthday of Elizabeth Hanford "Liddy" Dole, now a US Senator from
her home state. She married the chairman of the Republican party, U.S. Senator Bob Dole in 1975. She was appointed to head President Reagan's public liaison office, then was appointed U.S. Secretary of Transportation 1983-87, admittedly to answer the gender-gap problem Reagan faced for not appointing women to important positions in his administration. She was moved to head the Department of Labor 1989-90 by President Bush. In 1991 Bush appointed her the president of the American Red Cross. She ran for the presidential nomination but withdrew before the convention.
1943---SCOTT, ROBERT S. Medal of Honor
Rank and organization: Captain (then Lieutenant), U.S. Army, 172d Infantry, 43d Infantry Division. Place and date. Near Munda Air Strip, New Georgia, Solomon Islands, 29 July 1943. Entered service at. Santa Fe, N. Mex. Birth: Washington, D.C. G.O. No.: 81, 14 October 1944. Citation: For conspicuous gallantry and intrepidity at the risk of his life above and beyond the call of duty near Munda Airstrip, New Georgia, Solomon Islands, on 29 July 1943. After 27 days of bitter fighting, the enemy held a hilltop salient which commanded the approach to Munda Airstrip. Our troops were exhausted from prolonged battle and heavy casualties, but Lt. Scott advanced with the leading platoon of his company to attack the enemy position, urging his men forward in the face of enemy rifle and enemy machinegun fire. He had pushed forward alone to a point midway across the barren hilltop within 75 yards of the enemy when the enemy launched a desperate counterattack, which f successful would have gained undisputed possession of the hill. Enemy riflemen charged out on the plateau, firing and throwing grenades as they moved to engage our troops. The company withdrew, but Lt. Scott, with only a blasted tree stump for cover, stood his ground against the wild enemy assault. By firing his carbine and throwing the grenades in his possession he momentarily stopped the enemy advance using the brief respite to obtain more grenades. Disregarding small-arms fire and exploding grenades aimed at him, suffering a bullet wound in the left hand and a painful shrapnel wound in the head after his carbine had been shot from his hand, he threw grenade after grenade with devastating accuracy until the beaten enemy withdrew. Our troops, inspired to renewed effort by Lt. Scott’s intrepid stand and incomparable courage, swept across the plateau to capture the hill, and from this strategic position 4 days later captured Munda Airstrip.
1945--WHITTINGTON, HULON B. Medal of Honor
Rank and organization: Sergeant, U.S. Army, 41st Armored Infantry 2d Armored Division. Place and date: Near Grimesnil, France, 29 July 1944. Entered service at: Bastrop, La. Born: 9 July 1921, Bogalusa, La. G.O. No.: 32, 23 April 1945. Citation: For conspicuous gallantry and intrepidity at the risk of life above and beyond the call of duty. On the night of 29 July 1944, near Grimesnil, France, during an enemy armored attack, Sgt. Whittington, a squad leader, assumed command of his platoon when the platoon leader and platoon sergeant became missing in action. He reorganized the defense and, under fire, courageously crawled between gun positions to check the actions of his men. When the advancing enemy attempted to penetrate a roadblock, Sgt. Whittington, completely disregarding intense enemy action, mounted a tank and by shouting through the turret, directed it into position to fire pointblank at the leading Mark V German tank. The destruction of this vehicle blocked all movement of the remaining enemy column consisting of over 100 vehicles of a Panzer unit. The blocked vehicles were then destroyed by hand grenades, bazooka, tank, and artillery fire and large numbers of enemy personnel were wiped out by a bold and resolute bayonet charge inspired by Sgt. Whittington. When the medical aid man had become a casualty, Sgt. Whittington personally administered first aid to his wounded men. The dynamic leadership, the inspiring example, and the dauntless courage of Sgt. Whittington, above and beyond the call of duty, are in keeping with the highest traditions of the military service.

1945 - Japanese warships sink the American cruiser Indianapolis, killing 883 seamen in the worst loss in the history of the U.S. navy. As a prelude to a proposed invasion of the Japanese mainland, scheduled for November 1, U.S. forces bombed the Japanese home islands from sea and air, as well as blowing Japanese warships out of the water. The end was near for Imperial Japan, but it was determined to go down fighting. Just before midnight of the 29th, the Indianapolis, an American cruiser that was the flagship of the Fifth Fleet, was on its way, unescorted, to Guam, then Okinawa. It never made it. It was torpedoed by a Japanese submarine. Interestingly, the sub was commanded by a lieutenant who had also participated in the Pearl Harbor invasion. There were 1,196 crewmen onboard the Indianapolis; over 350 died upon impact of the torpedo or went down with the ship. More than 800 fell into the Pacific. Of those, approximately 50 died that first night in the water from injuries suffered in the torpedo explosion; the remaining seamen were left to flounder in the Pacific, fend off sharks, drink sea water (which drove some insane), and wait to be rescued. Because there was no time for a distress signal before the Indianapolis went down, it was 84 hours before help arrived. This was despite the fact that American naval headquarters had intercepted a message on July 30 from the Japanese sub commander responsible for sinking the Indianapolis, describing the type of ship sunk and its location. (The Americans assumed it was an exaggerated boast and didn't bother to follow up.) Only 318 survived; the rest were eaten by sharks or drowned. The Indianapolis's commander, Captain Charles McVay, was the only officer ever to be court-martialed for the loss of a ship during wartime in the history of the U.S. Navy. Had the attack happened only three days earlier, the Indianapolis would have been sunk carrying special cargo-the atom bomb, which it delivered to Tinian Island, northeast of Guam, for scientists to assemble.
1946-MAYFIELD, MELVIN Medal of Honor Rank and organization: Corporal, U.S. Army, Company D, 20th Infantry, 6th Infantry Division. Place and date: Cordillera Mountains, Luzon, Philippine Islands, 29 July 1945. Entered service at: Nashport, Ohio. Birth: Salem, W. Va. G.O. No.: 49, 31 May 1946. Citation: He displayed conspicuous gallantry and intrepidity above and beyond the call of duty while fighting in the Cordillera Mountains of Luzon, Philippine Islands. When 2 Filipino companies were pinned down under a torrent of enemy fire that converged on them from a circular ridge commanding their position, Cpl. Mayfield, in a gallant single-handed effort to aid them, rushed from shell hole to shell hole until he reached 4 enemy caves atop the barren fire-swept hill. With grenades and his carbine, he assaulted each of the caves while enemy fire pounded about him. However, before he annihilated the last hostile redoubt, a machinegun bullet destroyed his weapon and slashed his left hand. Disregarding his wound, he secured more grenades and dauntlessly charged again into the face of pointblank fire to help destroy a hostile observation post. By his gallant determination and heroic leadership, Cpl. Mayfield inspired the men to eliminate all remaining pockets of resistance in the area and to press the advance against the enemy
1945-birthday of guitarist Joe Beck, Philadelphia , PA.http://www.joebeckmusic.com/meetjb.htm
1945- After delivering the atomic bomb to Tinian Island , the American cruiser “ Indianapolis ” was headed for Okinawa to train for the pending invasion of Japan when it was torpedoed by a Japanese submarine. The war was going hot and heavy and there were no indications that Japan would surrender and fight until the end for their Emperor. Of the 1,196 crew members of the Indianapolis , more than 350 were immediately killed in the explosion or went down with the ship. There were no rescue ships nearby, and most of those fortunate enough to survive endured the next 84 hours in ocean waters. By the time they were spotted by air on August 2 nd , only 318 sailors remained alive, 528 sailors either drowned or were eaten by the sharks. 878 sailors lost their lives, the US Navy's worst loss at sea.

Jack Paar came to NBC from CBS where he had been a game and talk-show host. Paar's forte was interviewing. He would get so involved with his guests and their stories that he would not only laugh with them, but would sometimes, even cry. Paar's emotional outbursts, whether they involved an interviewee, a personal crusade or a feud with the likes of Ed Sullivan or Dorothy Kilgallen, became the major attraction of the show. Jose Melis and his orchestra stayed with Paar through the years as did his sidekick and announcer, Hugh Downs. The very first show had as guests Alexander King, singer Robert Merrill, and funnyman Buddy Hackett. King and Hackett became regulars over the years just as Jack Paar became a regular in our bedrooms every weekday night until March 30, 1962.

1965 – The first 4,000 paratroopers of the 101st Airborne Division arrive in Vietnam, landing at Cam Ranh Bay. They made a demonstration jump immediately after arriving, observed by Gen. William Westmoreland and outgoing Ambassador (formerly General) Maxwell Taylor. Taylor and Westmoreland were both former commanders of the division, which was known as the “Screaming Eagles.” The 101st Airborne Division has a long and storied history, including combat jumps during the invasion of Normandy on June 6, 1944, and the subsequent Market-Garden airborne operation in the Netherlands. Later, the division distinguished itself by its defense of Bastogne during the Battle of the Bulge. The 1st Brigade fought as a separate brigade until 1967, when the remainder of the division arrived in Vietnam. The combat elements of the division consisted of 10 battalions of airmobile infantry, six battalions of artillery, an aerial rocket artillery unit armed with rocket-firing helicopters, and an air reconnaissance unit. Another unique feature of the division was its aviation group, which consisted of three aviation battalions of assault helicopters and gunships. During the war, troopers from the 101st won 17 Medals of Honor for bravery in combat. The division suffered almost 20,000 soldiers killed or wounded in action in Vietnam, over twice as many as the 9,328 casualties it suffered in World War II.
1966: The US teen magazine Datebook reprints a John Lennon quote from an interview, conducted by Maureen Cleave, which had been published in the London Evening Standard newspaper: "Christianity will go. It will vanish and shrink. I needn't argue with that; I'm right and I will be proved right. We're more popular than Jesus now; I don't know which will go first - rock 'n' roll or Christianity. Jesus was all right but his disciples were thick and ordinary. It's them twisting it that ruins it for me."
The resulting uproar causes the Beatles' records to be burned in America, especially the South, and death threats to be issued against the band on their upcoming US tour -- despite a hastily assembled press conference in Chicago, at which John explains, "If I had said television is more popular than Jesus, I might have got away with it, but I just happened to be talking to a friend and I used the words "Beatles" as a remote thing, not as what I think - as Beatles, as those other Beatles like other people see us... I'm not saying that we're better or greater, or comparing us with Jesus Christ as a person or God as a thing or whatever it is. I just said what I said and it was wrong. Or it was taken wrong. And now it's all this... I never meant it to be a lousy anti-religious thing. I apologize if that will make you happy. I still don't know quite what I've done. I've tried to tell you what I did do but if you want me to apologize, if that will make you happy, then OK, I'm sorry."
