        Four  Prominent Attorneys on "Reps and Warrants" 
  
 Hurdles  to overcome are definitions of a "funder" and "lessor"  or “broker.”  Many lessors and brokers market themselves as  "decision makers," which they may be from their viewpoint  as they decide what they can "place" and what they cannot.  The "funders" have a different point of view:  It is the  responsibility of the payments when not made is  their key deciding factor. In  reality, many of those who claim to be "direct lenders," or  "decision makers," are tiny shops, as defined by the US  Small Business Association, where under 200 is considered a "small  business."  In reality many brokers or a lessor (their name is  on the “private label program document” and that makes them a  “lessor,”) are one person operations, maybe two or three  employees or independent salesmen or employees working solely on  commission.  Some may have a  warehouse line or even carry leases in their own line of credit, but  the great majority of their leases are discounted “non-recourse.” The  defining factor, according to the California Department of  Corporations, is whose name is on the document and collects the  advance rentals in their name. A brokers name does not appear. A  lessor’s name does appear. According  to the Leasing News list, most of these established lessors whose  name is on the leasing contract are under 25 and smaller. 10 to  15 would be average for an established operation.  They often site  “representation and warranty" agreements can give them  "recourse" and therefore if the transaction is sold  supposedly "non-recourse," it really  isn't.  They believe it makes them responsible. While  there are many leases that in the course of payments being made  problems come up with credit items or situations overlooked, who  is responsible for the  "lack of due diligence." A  good case in point is Allied Health Care Services, Orange, New Jersey  leases where there are 123 pages of creditors, mostly leasing  companies, small, regional, and large banks. In  bringing an alert to readers’ attention, many came forward to claim  Leasing News was "way off base" as they have placed  "successful" leases. Rick  Wilbur wrote Leasing News that his company Charter Capital, Scottsdale,  Arizona has " done business with Allied for over five years.  We’ve closed over 90 separate deals for in excess of $19 million." Gary  Saulter of Chase Industries says he has done millions for Allied in the last  ten years. "I know exactly what the equipment is, what is does,  and where it all is. We did inspections on all his recent deals." Larry  LaChance,  CLP, Northborough, Massachusetts says, "Have multiple lease  schedules with 7 figure exposure. Started relationship back in 2004  and Allied has never been late or missed a payment on any schedules." “This  is Ray  Butler president of Amsource Capital and I have known Allied and Chuck for  3+ years and we have placed many loans and leases for Allied and have  never incurred a problem nor have any of the funding sources we used.  I have been to Allied’s facility many times as have many of my  lenders and everyone is pleased with Allied and the operation Chuck  runs. There  are other lessors who also present many,  In addition, the 24  lawsuits brought forth exhibits of leases "discounted" by  several lessors, such as ACC  Capital,  Midvale, Colorado, First  Premier,  Edina, Minnesota, Global  Vantage,  Newport Beach, California, and others.  An ACC Capital spokesperson  told leasing news they had placed  nine, "All non-recourse. Not our problem." Are they?  What  about First Premier being named by other banks in the complaints. In  this view, Leasing News asked several prominent equipment leasing  attorneys for their opinion regarding "representations and  warranties:" From  Barry Marks
 We  were proposing to our funder and broker clients a compromise under  which certain representations would result in refund of fees only  unless the broker demonstrated extreme carelessness or actual  fraud.
 In today's economy I am afraid that is going to be  unacceptable to most funders.
 
 There are several traditional  representations at issue here. Those wishing to escape the Allied  Health Care Service situation really need to talk to counsel.
 
 We're  involved in these lawsuits from both sides. 1 suggestion to thunders  who only bought a few bad deals is to join with similarly situated  funders and pool resources. The same may work for brokers.

 At  times I have suggested that a broker's reps might be qualified by  language such as  " to the best of Broker's knowledge after  due investigation" which might allow a broker to avoid liability  or at least negotiate a compromise settlement with a funder if  they are truly an innocent victim of the fraud AND did what you would  reasonably expect a broker in that position to have done regarding  confirmation of delivery, execution of documents, etc.  Also, as Barry Marks points  out, it is not unreasonable to limit the right to put a deal back to  a broker to those situations where they have really done something  wrong and not have it apply to every technical breach of a rep.         However, you have to keep in mind  the golden rule, "He who has the gold makes the rules" and  most funding sources would view these reps as a contractual  allocation of risk even if both are innocent victims and expect the  broker to take that risk if they want to do the deal.  This  is an issue that has concerned me for many years, perhaps decades.  It  certainly is not my wish to denigrate all lessors who require Reps and Warranty Agreements. However, I have seen some that are, in  my humble opinion, unconscionable.
 
 The basis premise of a  non-recourse lease agreement, vis-à-vis the originating broker,  is that he or she is not held liable should the lessee default.  Notwithstanding that representation,  many of the Reps and  Warranty Agreements circumvent the non-recourse aspect of the deal and hold the broker liable under many circumstances.  For  example, consider these provisions and the impact on the  broker:
 
 1.  All executed documents submitted to the  lessor/funder have been
 duly authorized and executed, and will be  in FULL FORCE AND EFFECT and will be VALID, AUTHENTIC AND BINDING  UPON AND ENFORCEABLE against the lessee(s)/guarantor(s).   Ostensibly, the broker is validating signatures. Does that mean the  broker must be present for the signing? Are electronic  signatures taboo?  Do all signings require a notary?
 
 2.   All documents must be "true and correct" on the date of  signing.
 What if there is a mistake, something  insignificant like the title of an officer?
 
 According to  some (thought not all) broker program agreements, the breach of  these covenants (and others) requires that the broker buy back  the lease. If these agreements are purportedly non-recourse leases,  this is a blatant anomaly.
 
 I have tried, with some success, to  convince the lessors/funders to modify their agreements to  ameliorate the hardship to the brokers.  I think, however,  especially given the current economy, that it would behoove the  money sources to ease up on the burdens imposed on the brokers.
 
 This is just one man's opinion.  I'm certain  others will disagree.

 There  are two sides to every coin.  I try to convince smaller banks  and funding sources to use agreements with strong reps and warranties  (sorry Ken).  Often a one-off deal starts to multiply  geometrically and they find themselves acquiring more and more paper  for bigger dollars and without a formal arrangement.  The lack  of a formal recourse agreement can lead to sloppy deals and the  smaller lenders do not have the resources or procedures to do  protective due diligence. 
 At  some point a sloppy deal becomes a negligent one and may contain  false representations (undelivered or used equipment, no corporate  authority, forged guarantees, false invoices, etc).  The funder  may then have a cause of action for breach of the covenant of good  faith and fair dealing, fraud, and unfair trade practices.  That  is fine if there is a deep pocket, but more often they will be lucky  if they get something back from future deals.  I  believe strong reps and warranties set a higher bar for the  originators and encourage them to be more thorough when documenting  deals.  It is much easier to use shortcuts if you believe that  “without recourse” means provides an invisible shield no matter  what happens after you get your money.

 The  problem for the funders is this:        
 --They  never see the borrower;
 --They  do not garner signatures, and do not know if they are valid;
 --They  don't handle the equipment nor supervise its delivery; and
 --They  don't file the UCC-1 and don't know its priority and whether its a  PMSI or not.
 Most  funders want to off-load these aspects of the transaction, and are  willing to pay a significant portion of the payment stream for these  services.  If the broker is willing to perform and be  accountable for these aspects, then it will earn a nice fee.  If  not, then the broker should only be entitled to a small finders fee.   Pick one. To  drill down, the reps generally fall into signature and equipment  issues. As  for the signatures, any broker can use a signature service for  $100-500, to have the documents notarized.  And that fee can be  passed on to the borrower.  As  for equipment issues, any broker can use Purchase Orders (Jim Grant  of Leaf has the best one I've ever seen), and have recourse against  the Vendor.  Of course, any Vendor should be pre-qualified or if  not so qualified, then the deal should not be done.   I'm  with the funder on most of these issues. Assuming  a broker wants to negotiate a decent agreement, then a "to the  best of broker's knowledge" term should be inserted, if  acceptable to a funder.  But visa vis the average rinky-dink  broker, that would not be acceptable to me, as counsel for the  funder.   Regards,

 Special Halloween Edition:
 
 
   Halloween is here again, and it’s  time to dig up more choice cinematic scares. Last year we had a  top-shelf array of spine-tinglers, from “Psycho” to “Night of  the Living Dead.” This year, we’re offering a new batch of movies  that combine giggles and chills and put the recent “Paranormal  Activity” to shame. So pull up a chair and a bowl of trick-or-treat  candy, and get ready to be scared.
 
 Halloween (1978): It may sound like an obvious choice, but John  Carpenter’s original slasher classic retains its chilling qualities  even after years of being ripped off by inferior horror movies such  as “Friday the 13th” and “Saw.” Introducing one of horror  cinema’s most enduring boogeyman in Michael Myers, the escaped  psychopath carving his way through a small-town’s festivities (and  meeting his match in plucky scream-queen Jamie Lee Curtis), the movie  nevertheless remains a marvel of suspense and ingenuity over blood  and guts. Modern horror directors can still learn a thing or two from  it.
 Rosemary’s Baby (1968): Surely  one of the most frightening movies for expecting mothers, this darkly  comic horror movie has often been imitated but never equaled. Mia  Farrow plays Rosemary, a young woman who moves with her husband (John  Cassavetes) into a spooky old building in New York City, and starts  having strange feelings after she becomes pregnant. Is it all in her  imagination, or do her odd neighbors have anything to do with it?  Director Roman Polanski creates a unique atmosphere that mixes  genuine dread with eccentric humor, building up to an unforgettable  conclusion. And keep an eye out for Ruth Gordon’s Oscar-winning,  movie-stealing performance. A Nightmare on Elm Street (1984): After so many sequels, remakes, and spoofs, it’s easy to  forget how terrifying Freddy Krueger originally was. The prune-faced  fellow with the striped shirt and razors for fingernails (played by  Robert Englund) made his first appearance in Wes Craven’s creepy  story of a wronged man taking revenge on people by invading and  terrorizing their dreams. The 1980s was for the most part a bleak  time for horror movies, but Craven’s fierce ideas and a strong cast  (which includes a very young Johnny Depp) make this a visually  striking, truly shocking ride. Night of the Demon (1957): Proof  that less is more, this terrific, unfairly forgotten gem should be  watched by anybody who complains that horror movies can only rely on  gore to get thrills. Like “Rosemary’s Baby,” it depicts a world  in which the supernatural exists next to (and sometimes within) our  normal lives. Dana Andrews stars as an American psychologist who  travels to England to investigate rumors of occult gatherings, and  gets more than he bargained for when he learns about the ancient  demonic curse hanging over the local village. The great director  Jacques Tourneur gives a master class on how to quicken pulses by  using powers of suggestion rather than violence.
 The Thing (1982): Okay, so  this is technically a science-fiction rather than a horror movie.  Still, I have never met anyone who hasn’t been chilled to the bone  by it. Director John Carpenter, who gave us “Halloween,” heads to  the South Pole for even stronger shocks. A group of scientists think  they have a great discovery when they find an ancient alien spaceship  frozen in the ice, but they never counted on having the  shape-shifting visitor take over their compound. Thanks to an  exceptional cast led by Kurt Russell, incredible special-effects, and  Carpenter’s amazing use of screen space, the film works up a  remarkable feeling of paranoia. Make sure to watch this one with the  lights on!

 City  National 3rd Quarter $34.4 Million Net Income

 LOS  ANGELES— City National Corporation (NYSE: CYN), the parent company  of wholly owned City National Bank, today reported third-quarter 2010  net income and net income avail able to common shareholders of $34.4  million. In the third quarter of 2009, net income was $8.0 million,  while net income available to common shareholders was $2.5 million,  or $0.05 per share. Third-quarter  2010 net income included two unusual items primarily related to one  of the company's FDIC-assisted acquisitions and the repayment of  debt. Excluding these items, third-quarter net income totaled $40.3  million, or $0.76 per share) Year  to date, City National's net income totaled $91.4 million. Net income  available to common shareholders was $85.7 million, or $1.62 per  share. In the first nine months of 2009, the company earned net  income of $22.3 million, while net income available to common  shareholders amounted to $5.8 million, or $0.11 per share. "These  third-quarter results reflect the underlying strength and continuing  improvement of City National's business," said Chief Executive  Officer Russell Goldsmith.  1863-Battle of Wauhatchie (Brown's Ferry) concludes: The troops of   Union General Ulysses S. Grant open a supply line into Chattanooga,   Tennessee, when they drive away a Confederate attack by General James   Longstreet. Although the Confederates still held the high ground above   Chattanooga, the new supply line allowed the Union to hold the city and   prepare for a major new offensive the next month. After the Battle of   Chickamauga in northern Georgia on September 19 and 20, the defeated   Union army of General William Rosecrans fled back to nearby Chattanooga.   Braxton Bragg's Confederates took up positions along Lookout Mountain   and Missionary Ridge to the east of the city. The Rebel lines made a   semicircle around the city, and Confederate guns closed traffic on the   Tennessee River. As a result, Union supplies had to come over a rugged   mountainous route from the west. This line was vulnerable to a   Confederate attack, and it made the Union's hold on Chattanooga tenuous   at best. On October 23, Grant arrived as the new commander of all   western forces. He immediately ordered two brigades to attack Brown's   Ferry, where the Confederates were blocking river traffic to   Chattanooga. The Yankees captured the ferry on October 27, then held off   a counterattack to maintain control. On the night of October 28,   Longstreet mounted a much larger attack to retake the crossing. The   Confederates possessed superior numbers but could not pry the Union   troops from the river. In the dark, the Yankees held and Longstreet   withdrew his forces before dawn. The Union suffered 78 killed, 327   wounded, and 15 missing, while the Confederates suffered 34 killed, 305   wounded, and 69 missing. The Battle of Wauhatchie was one of the few   Civil War engagements that took place at night. As a result of the   battle, the Tennessee River was reopened for the Union and supplies   reached Grant's troops. One month later, Grant drove the Confederates   from the mountains around Chattanooga.

 1925- History records “Howard Johnson's “ as the first franchise   chain. The chain got it s started when Howard Dearing Johnson, the   proprietor of a drugstore in Quincy, MA, began making ice cream with a   hand-held crank to sell at the soda fountain. Unable to finance   additional restaurants on his own. he began franchising his name and the   formulas for his ice cream and other specialties. The first restaurant   to which he granted a franchise, in 1932, was on Cape Cod. Eventually,   the chain had 600 restaurants across the country. Johnson's innovations   included the use of a central commissary to supply all franchises with   food of consistent quality and the sitting of diner along highways.
 1929- Major Stock Market Crash as prices on the New York Stock   Exchange plummeted and virtually collapsed four days after President   Herbert Hoover had declared “The fundamental business of the country ...   is on a sound and prosperous basis.” More than 16 million shares were   dumped and billions of dollars were lost. The boom was over and the   nation faced nearly a decade of depression. Some analysts had warned   that the buying spree, with prices 15 to 150 times above earnings, had   to stop at some point. Frightened investors ordered their brokers to   sell at whatever price.  Private Barney F. Hajiro distinguished himself by extraordinary heroism   in action on 19, 22, and 29 October 1944, in the vicinity of Bruyeres   and Biffontaine, eastern France. Private Hajiro, while acting as a   sentry on top of an embankment on 19 October 1944, in the vicinity of   Bruyeres, France, rendered assistance to allied troops attacking a house   200 yards away by exposing himself to enemy fire and directing fire at   an enemy strong point. He assisted the unit on his right by firing his   automatic rifle and killing or wounding two enemy snipers. On 22 October   1944, he and one comrade took up an outpost security position about 50   yards to the right front of their platoon, concealed themselves, and   ambushed an 18-man, heavily armed, enemy patrol, killing two, wounding   one, and taking the remainder as prisoners. On 29 October 1944, in a   wooded area in the vicinity of Biffontaine, France, Private Hajiro   initiated an attack up the slope of a hill referred to as "Suicide Hill"   by running forward approximately 100 yards under fire. He then advanced   ahead of his comrades about 10 yards, drawing fire and spotting   camouflaged machine gun nests. He fearlessly met fire with fire and   single-handedly destroyed two machine gun nests and killed two enemy   snipers. As a result of Private Hajiro’s heroic actions, the attack was   successful. Private Hajiro’s extraordinary heroism and devotion to duty   are in keeping with the highest traditions of military service and   reflect great credit upon him, his unit, and the United States Army.
 1944--*OKUBO, JAMES K. Medal of Honor
 Technician Fifth Grade James K. Okubo distinguished himself by   extraordinary heroism in action on 28 and 29 October and 4 November   1944, in the Foret Domaniale de Champ, near Biffontaine, eastern France.   On 28 October, under strong enemy fire coming from behind mine fields   and roadblocks, Technician Fifth Grade Okubo, a medic, crawled 150 yards   to within 40 yards of the enemy lines. Two grenades were thrown at him   while he left his last covered position to carry back wounded comrades.   Under constant barrages of enemy small arms and machine gun fire, he   treated 17 men on 28 October and 8 more men on 29 October. On 4   November, Technician Fifth Grade Okubo ran 75 yards under grazing   machine gun fire and, while exposed to hostile fire directed at him,   evacuated and treated a seriously wounded crewman from a burning tank,   who otherwise would have died. Technician Fifth Grade James K. Okubo’s   extraordinary heroism and devotion to duty are in keeping with the   highest traditions of military service and reflect great credit on him,   his unit, and the United States Army.
 1944--SAKATO, GEORGE T. Medal of Honor
 Private George T. Sakato distinguished himself by extraordinary heroism   in action on 29 October 1944, on hill 617 in the vicinity of   Biffontaine, France. After his platoon had virtually destroyed two enemy   defense lines, during which he personally killed five enemy soldiers   and captured four, his unit was pinned down by heavy enemy fire.   Disregarding the enemy fire, Private Sakato made a one-man rush that   encouraged his platoon to charge and destroy the enemy strongpoint.   While his platoon was reorganizing, he proved to be the inspiration of   his squad in halting a counter-attack on the left flank during which his   squad leader was killed. Taking charge of the squad, he continued his   relentless tactics, using an enemy rifle and P-38 pistol to stop an   organized enemy attack. During this entire action, he killed 12 and   wounded two, personally captured four and assisted his platoon in taking   34 prisoners. By continuously ignoring enemy fire, and by his gallant   courage and fighting spirit, he turned impending defeat into victory and   helped his platoon complete its mission. Private Sakato’s extraordinary   heroism and devotion to duty are in keeping with the highest traditions   of military service and reflect great credit on him, his unit, and the   United States Army.

 1962-Actor Sydney Poitier testifies before the House Committee on   Education and Labor, condemning the lack of opportunities for black   actors in Hollywood. Poitier was born in 1924 to poor farmers in the   Bahamas. He dropped out of school at age 13 and later joined the U.S.   Army. After his army stint, he became interested in performing and   joined the American Negro Theater. He debuted on Broadway in 1946 and   three years later made his film debut in a U.S. Army documentary. By the   late 1950s, he was the leading African American actor in the country.   In 1964, he became the first African American actor to win the Best   Actor Oscar, for his role as a laborer who helps build a chapel in Lilies of the Field (1963). Other films include In the Heat of the Night (1967) and Guess Who's Coming to Dinner (1967). He began directing in 1971 with Buck and the Preacher. In 1992, he won the American Film Institute's Life Achievement Award, the first black actor and director to be so honored.

 UNITED STATES ARMY for conspicuous gallantry and intrepidity at the risk   of his life above and beyond the call of duty: Captain Humbert R.   Versace distinguished himself by extraordinary heroism during the period   of 29 October 1963 to 26 September 1965, while serving as S-2 Advisor,   Military Assistance Advisory Group, Detachment 52, Ca Mau, Republic of   Vietnam. While accompanying a Civilian Irregular Defense Group patrol   engaged in combat operations in Thoi Binh District, An Xuyen Province,   Captain Versace and the patrol came under sudden and intense mortar,   automatic weapons, and small arms fire from elements of a heavily armed   enemy battalion. As the battle raged, Captain Versace, although severely   wounded in the knee and back by hostile fire, fought valiantly and   continued to engage enemy targets. Weakened by his wounds and fatigued   by the fierce firefight, Captain Versace stubbornly resisted capture by   the over-powering Viet Cong force with the last full measure of his   strength and ammunition. Taken prisoner by the Viet Cong, he exemplified   the tenets of the Code of Conduct from the time he entered into   Prisoner of War status. Captain Versace assumed command of his fellow   American soldiers, scorned the enemy's exhaustive interrogation and   indoctrination efforts, and made three unsuccessful attempts to escape,   despite his weakened condition which was brought about by his wounds and   the extreme privation and hardships he was forced to endure. During his   captivity, Captain Versace was segregated in an isolated prisoner of   war cage, manacled in irons for prolonged periods of time, and placed on   extremely reduced ration. The enemy was unable to break his indomitable   will, his faith in God, and his trust in the United States of America.   Captain Versace, an American fighting man who epitomized the principles   of his country and the Code of Conduct, was executed by the Viet Cong on   26 September 1965. Captain Versace's gallant actions in close contact   with an enemy force and unyielding courage and bravery while a prisoner   of war are in the highest traditions of the military service and reflect   the utmost credit upon himself and the United States Army.

Although he closely guarded his true identity at the   time, the man known as Question Mark turned out to be Rudy Martinez,   from Saginaw Valley, Michigan.

 1967-Hair, An American Tribal Love-Rock Musical, opened at the   Public Theater in New York City. The composer was Galt MacDermott. The   musical, which appeared during the Vietnam War, carried an antiwar   message and aroused some controversy for its glorification of “hippie”   values, including a nude scene at the end of the first act. The   production moved to Broadway's Biltmore Theater in April, 1968.
 1969-Historians consider this the day the Internet was created. The   first connection on what would become the world wide web was made on   this day when bits of data flowed between computers at UCLA and the   Stanford Research Institute. This was the beginning of ARPANET, the   precursor to the Internet developed by the Department of Defense. By the   end of 1969, four sites were connected: UCLA, the Stanford Research   Institute, the University of California, Santa Barbara and the   University of Utah. By the next year there were 10 sites and soon there   were applications like email and file transfer utilities. The @ symbol   was adopted in 1972 and a year later 75 percent of ARPANET traffic was   e-mail.  1987 - Severe thunderstorms in Arizona produced wind gusts to 86 mph   at the Glendale Airport near Phoenix, baseball size hail and 70 mph   winds at Wickenburg, and up to an inch of rain in fifteen minutes in   Yavapai County and northwest Maricopa County. Arizona Public Service   alone reported 2.5 million dollars damage from the storms.
 1988 - Wintry weather prevailed in the Upper Midwest. South Bend,   IN, equaled their record for October with a morning low of 23 degrees.   International Falls MN reported a record low of 11 degrees in the   morning, then dipped down to 8 degrees above zero late in the evening.
 1989 - Thunderstorms developing along a cold front produced severe   weather in Oklahoma and north central Texas during the late afternoon   and evening hours. Thunderstorms in Oklahoma produced weak tornadoes   near Snyder and Davidson, and produced hail two inches in diameter at   Altus. Large hail damaged 60 to 80 percent of the cotton crop in Tillman   County OK. Nine cities in the northeastern U.S. reported record high   temperatures for the date as readings warmed into the 70s. For Marquette   MI it marked their fifth straight day of record warmth. Arctic cold   invaded the western U.S. Lows of 7 degrees at Alamosa CO and 9 degrees
at Elko NV were records for the date. (My daughter in nearby Lamoille   said it was zero degrees.)
 1990--  The inductees for the sixth annual Rock and Roll Hall of Fame are  announced, a list which includes Wilson Pickett, Ike and Tina Turner,  The Byrds, The Impressions, LaVern Baker, Jimmy Reed, and John Lee  Hooker.
 1996-The National Basketball Association got set to launch its 50th anniversary of all time, ten of the 50 spent significant portions of their careers with the Boston Celtics.

 1998 - Hurricane Mitch (Oct 22-Nov 4, 1998), one of the strongest   Atlantic storms ever, made landfall, slamming into Honduras, Nicaragua,   Guatemala, Belize, El Salvador and other Central American countries. The   real story was not the wind but the rain. Slow movement of the storm   caused heavy rain, resulting in widespread flooding and mudslides. Over   10,000 people were killed, another 10,000 were missing, and some two   million people were affected in some way by the storm.
 1998 - The space shuttle Discovery blasted off, returning   77-year-old U.S. Senator John Glenn to space some 36 years after he   became the first American in orbit. Glenn was part of a crew of seven   astronauts shepherding scientific payloads on the shuttle mission.
 2001-- Matt Williams becomes the first player in World Series   history to hit home runs with three different teams. He homered in the   Fall Classic for the Indians in 1997 and the Giants in 1989.

 2003-Research  by Professor James Kellaris of the University of Cincinnati College  of Business Administration, found that songs get stuck in our heads  because they create a 'brain itch' that can only be scratched by  repeating a tune over and over. Songs such as the Village People's  "YMCA" and the Baha Men's "Who Let The Dogs Out",  owe their success to their ability to create a 'cognitive itch'.
 2009--Forbes  Magazine reported that Michael Jackson had earned about 72 million  dollars since his death on June 6th. That was good enough for third  place on their list of dead celebrities making the most money.  Fashion designer Yves Saint Laurent came in first at $350 million,  songwriters Richard Rodgers and Oscar Hammerstein were second with  $235 million and Elvis Presley was fourth, earning $55 million.
