Proposed Law Would Increase
Disclosure Burden In California

California legislators are at it again. The committee votes and momentum seems to be growing since February 13, 2025 when State Senator Tim Grayson introduced SB 362. If passed, the law would impose additional disclosure requirements and penalties on providers of commercial financing in California.

California already has the strictest and most comprehensive commercial disclosure laws and regulations in the country. As reported in prior Leasing News editions, lenders must now comply with the relatively cogent Commercial Finance Disclosure Law, but also 49 pages of regulations governing the interpretation of that law, not to mention the related 202-page Statement of Reasons!
If passed, SB 362 would impose these additional restrictions and penalties on commercial finance providers:

1. The bill would prohibit a provider (a defined term which typically means the funder) unless the provider “participates in a specified review process”.

2. It would also prohibit a provider from using the term “interest” or “rate” except as specified , and would require the use of the term “annual percentage rate” or “APR” in specified circumstances”.

3. The bill would expand the scope of the criminal aspect of the existing commercial finance disclosure law penalties so that a violation relating to a commercial financing transaction that is not subject to the California Financing Law is deemed a violation of the California Consumer Financial Protection Law!

Yes, you read that correctly. I am quite frankly at a loss to explain the justification for assessing a consumer transaction-based penalty on the parties to a commercial transaction, but, to this, all I can say is, welcome to California. Now go home!

I will keep an eye on this interesting piece of legislation as it wends its way through the hallowed chambers and we will update readers on its path trajectory.
