Press Releases and First Guardian

Our "colleagues" including ELTnews, ELAonline, Lessors.com, Monitor Daily, and others such as Google, Yahoo, to name a few, again print “news” from First Guardian Financial. It appears the press releases are rarely "investigated;" maybe it is an automated process.

Several telephone calls on Thursday to the "investor number" were obviously to an answering service. Each time, they informed us: "I don't think they are in today. We have gotten several calls, but they don't answer. "We called three times, thinking a time difference may find them in, but basically were told the same thing: “They were not in today.” One time the operator said, “ I don't think they are in very much...” and didn't even ask for our telephone number or to put us in “voice mail.”

Leasing News tries to ask questions or looks into press releases before printing them, as we remember many who looked like they had a big operation, but did not. Remember Sean Wheeler and 1Lease, who worked the leasing association conferences as well as faxes and telephone calls to brokers that he was a "funder," and then all the others, searching for "turned down deals," or "we do story credits," or "We know what we are doing and the others don't."

Not that we think First Guardian is in that category, heavens no!, but they have not returned telephone calls nor proven that they really are "funders" and not brokers pretending to be "funders." Leasing News certainly welcomes a comment from them, particularly an interview regarding the press releases they are sending out.

In the meantime, you can bet Leasing News looks at the validation of all press releases and often refuses to print those that are out right “advertisements” or “a waste of your time.”

What's up with Cal First?

Many lessors and brokers know when they are not current with financial statements and other information with their "funders," they take the chance of being "cut off" until they comply. Many funders are getting tougher about this, as regulators are getting tougher with them, which a good part may be due to Sarbanes-Oxley.

It is no secret banks and other publicly held companies have rules and regulations that require more severe compliance than ever before, especially in Sarbanes-Oxley requirements .

With the recent trend of problems with large companies, such as Fannie Mae and Enron, to name a few, the short- staffed regulators are both overwhelmed and getting tougher. Maybe they have run out of patience, or maybe they are hitting home runs and like winning.

Certainly obtaining fines and penalties does increase “income,” but is not really their incentive as they don't work on a commission basis. It appears the jury verdicts in the last few years are much more in favor of the prosecutors. The peer groups are fed up with the shenanigans and behavior. The prosecutors are motivated to enforce the current laws. They are getting headlines, convictions, and they like why they chose their profession.

CalFirst Bancorp (CFNB) announced it is not in compliance with The Nasdaq Stock Market regarding filing its Form 10-Q for the period ended March 31, 2006. The Orange County, California based corporations with stockholders' equity of more than $185 Million as of December 31, 2005, stated it basically is an "accounting issue" with Cal First Leasing. The NASDAQ notice stated that due to such noncompliance, CFNB's common stock will be subject to delisting. Calfirst Bancorp requested a NASDAQ hearing on the matter. It appears they have hired a new accounting firm whom the auditors believe will follow their "viewpoint."

This company can trace part of its heritage to Amplicon and several other Orange County leasing companies, and has been known as.

California First Leasing Corporation (CalFirst) a subsidiary of California First National Bancorp, University Lease ,(www.universitylease.com) Amplicon Financial, American Techologies Credit, Inc., Working Capital Technologies of America, according to various sources. Many of the principals of leasing companies today in were former sales personnel who learned the business from this mother.

According to the Cal First web site, California First Leasing Corporation leases and finances “just about any equipment" in the $25,000 to $5 million range:

Cal First, "...notified PricewaterhouseCoopers LLP ("PwC") that it had been dismissed as the Company's independent registered public accounting firm, effective immediately. The decision to dismiss PwC was made by the Audit Committee."

"...Audit Committee were reviewing the Company's accounting for lease extensions booked as sales-type leases. This review is still in process and the Company has not yet determined if any change to the Company's previously reported results is required, or the amount of any adjustments, if any. Based on its review since filing the 5/16/06 Form 8-K, management believes that certain lease extensions classified as sales-type leases should have been accounted for as operating leases, and is evaluating the impact of the reclassification. The difference in lease classification would primarily result in different timing of income recognition within a typical twelve-month extension term, and a change in classification of such leases on the balance sheet from Net Investment in capital leases to Property on operating leases and of some income from Direct finance income to Operating and sales-type lease income."

A spokesperson for Cal First told Leasing News they did not "fire" their accountants, and when asked what the dollar amount was involved, stated Cal First would not comment further than their official SEC filing statement. Asked if it was a lot of money involved, meaning if it were $50,000, most likely they would have "written it off," but if $100,000, maybe more, but it seems more serious than that.

There was the same "motor boating" about the SEC filing information, making no more comment, although the press release gave a telephone number and name if more information was needed.

Asked if the matter was serious received this response:

"I would say it was serious as Cal First has never had a notice for dismissal," was the response.

Several certified public accountants who specialize in leasing stated the income would appear as "unearned income" and maybe even with another category, such as "discounted" or "broker." Issues regarding "use tax" in California were not addressed in the SEC filing, nor the "residual value" asset category, or how it might also be accounted for in "income," such as "interim rent" or "extra income or gain or loss regarding "residual income."

Perhaps the issue regards a FASB (Financial Accounting Standards Board) ruling, such as recently the Equipment Leasing Association has been addressing directly and through the news media about "off sheet balance" and other matters. Certainly Leasing News readers will learn more when NASDAQ responds and holds a hearing as requested by Cal First Bank on the matter.

Anger and the 80% Rule

All of us have, at one time or another, encountered a customer or a co- worker who became angry as we negotiated with them about business or personal matters. The most successful negotiators recognize the basis of anger and what to do when they encounter someone who is angry.

First, it's important to understand what drives people to anger. There are three primary causes of anger – fear, hurt, and frustration. People exhibit anger when they are afraid of something, when they are hurting for some reason, or when they are simply frustrated.

The customer who becomes angry because she cannot obtain the low, implicit interest rate that her boss asked her to secure from your company isn't angry because of the higher interest rate. That's just a number. The cause of her anger is most likely the fear she feels when she contemplates telling her boss she failed to secure the low interest rate he wanted.

If for some reason beyond your control you aren't able to provide a service to a long-time customer, he may perceive your failure to help as a sign of his and his company's diminished importance to you and your company, and his feelings may be hurt in this process. These hurt feelings can manifest as anger directed toward you or your company.

Sometimes people express anger simply out of frustration. I've often observed that no one appears upset, irritated or really angry when things are going their way! When a client or co-worker faces one too many obstacles in a day, their increasing frustrations may result in a display of anger directed at anyone within shouting distance.

Although there are three primary drivers of anger, sometimes anger isn't driven by fear, hurt or frustration. In some negotiations, like labor contract talks, anger is used by experienced negotiators as a favorite tactic to coerce, intimidate and threaten the other side. This manufactured anger has become part of the way the labor contract negotiation game is played.

Whatever the source of someone's anger, it's important to remember that your reaction determines, to a large degree, how the negotiation proceeds and ends. According to research done at the Harvard Negotiation Project, there is an 80% chance that you can influence, and even control the atmosphere and tone of a negotiation simply by mirroring the behavior you want from your negotiating partners.

If you find yourself negotiating with someone who is angry, or irritated, and you want to control the tone of the negotiation, don't buy into their anger or frustration. Instead, remain calm, and listen carefully to what your negotiation partner says. At some point, in 80% of all cases, your negotiating partner will calm down and will begin to mirror your behavior. Very few people will argue with themselves or maintain anger when there is no reaction from the other side of the table!

In tough negotiations, remember the 80% rule. By definition, it doesn't always work, but knowing that you have an 80% chance of controlling the tone and atmosphere in any negotiation, simply by mirroring the behavior you want from you negotiating partners, keeps the 80% rule on your side!

Credit Managers Record Downward Trend

The National Association of Credit Management (NACM), headquartered in Columbia, Maryland, reports

The Combined Credit Manager's Index (CMI) "Suggest Definitive Change In Economy."

“Only twice in over four years has the combined index fallen more, and all 10 of the components in the combined index fell. The size and breadth of the decline suggests a definitive, structural change that outstrips any random month-to-month change,” remarked Dan North, Chief Economist with credit insurer Euler Hermes ACI.

“Despite strength in recent government releases, it is likely that the combination of rising oil prices and interest rates continues to quietly erode the strength of the economy in the background,” North continued. As predicted last month, the Fed raised the Fed Funds rate to 5% in May, and it now seems likely that the Fed will ratchet it up another 25 basis points at the end of June to continue slowing the economy. “In the meantime,” he said, “crude oil continues to hover at near record prices, which also puts a significant drag on the economy.”

Beijing is a fascinating city, and certainly one of contrasts. On the one hand, there are still vestiges of a slower time and place, such as the bicycles many people still ride, or the horse drawn cart full of watermelons that I saw in the city. It also is quite modern – both our hotels had free internet access which had great spam filters. Apparently, all email traffic into China flows through Beijing, where is goes through some form of censorship process. Although very minimal spam got through to me while there, a lot of legitimate email also did not, and I had trouble getting things sent out.

What really struck me about Beijing, though, was the level of construction activity that was occurring, much of which I am sure is related to the 2008 Olympics. In one of the business areas of the city where I stayed, I could count around 30 tower cranes just by looking out the hotel window. Buildings were going up all over. Fascinating for me, of course, and great for manufacturers such as Manitowoc, but why bring it up?

I think that, in terms of the global economy, the crane situation reflects much of what is going on with China – the growth of the Chinese economy is putting pressure on the availability of resources throughout the world with a concomitant increase in prices. Going back to the crane example, for instance, the Miami Herald recently noted the high demand for tower cranes in South Florida, where some rental companies have deployed 30-50% of their crane fleets. According to a quote from a developer in the article, ''In the old days, you could always get one. But today we're dealing in a commodities trade environment.'' This high demand throughout the world has increased lease rates for these cranes to around $30,000 per month.

The same thing can be said for oil, steel, and other metals. Chinese demand has caused the prices of most commodities to increase substantially. Iron manhole covers now are being stolen faster than they can be replaced. Here in Salt Lake, we have a problem with people stealing the soccer goal posts and selling them for scrap. Certainly, we all feel the effect of high oil prices. True, there is a lot of opportunity in China, but this growth also is pointing out some harsh realities regarding limited resources that we tend to ignore. There is only so much oil and iron ore in the Earth. How are these nonrenewable resources going to be allocated, and will this cause a shift in power between the resource-rich and those without? Just think Russian natural gas and Venezuelan oil.

Popular Leasing making settlements?

Leasing News has received an unconfirmed report that “Popular settled with NY AG for 15% with a 3% discount if debt paid in lump sum” regarding NorVergence leases.

In a recent article, Leasing News noted the settlement in Arizona, and was told Popular Leasing was actively pursuing this course in many other states rather than continuing to go to court, particularly in Texas.

New York Attorney General Attorney General Eliot Spitzer and his staff were the first to obtain major settlements with funders of NorVergence leases. They lead the way for 28 other attorneys general offices and the District of Columbia to also obtain settlements, originally from the companies Spitzer was about to get from 100% to 85% of the money owed returned, including personal property tax and other fees, plus payments spread over a period of time at not interest, if requested.

Great bar area, too

When the weather is good, we sit outside in the small patio. They allow you to take your dog here, and we have had lunch with our late black Labrador (Samantha) by our table. I plan to take our new black lab, Bode, when he is six months old. In the summer, dinner is nice outside, too. We always enjoy this restaurant, its staff, food, wine, and even dessert.

Parking is easy at the main lot a block away or underneath the shopping center, where our favorite woman's fashion store is: Slyvie's. (we also can park here as this is one of the best kept secrets in Carmel).

Anton & Michel have an excellent wine list, very reasonably priced as they have collected for years. Food, service, moderately priced for the great quality, you will not be disappointed.

The fish is fresh and delicious. I have had the lamb pot pie, chicken dishes, Monterey Sand dabs, pasta is outstanding, and always the soup of the day. Service has always been excellent. The maitre de even brought a bowl of water out for our dog.

There are many excellent restaurants in Carmel, but we note the locals like to eat here. The restaurant also had two others in the area, both also take dogs (one is inside.)

You can be casual, if you like, but most of the gentlemen wear jackets, I have noticed. This is where the very well-to-do Carmel people like to eat, I have noticed, and there are also a lot of younger couples, who seem to come here for the romantic atmosphere, too.

This former slave and abolitionist James Montgomery lead 300 African American troops of the Union's Second South Carolina Volunteers on a raid of plantations along the Combahee River. This Day in American History

    1692-As the village of Salem was gripped by terror of witches, Massachusetts Bay Colony governor Sir William Phips ordered a special court create on May 217,1692, to expedite judgment of the more than 150 people accused of witchcraft. Unpopular resident Bridge Bishop, first accused in April, was the first on the jailed brought to trail on June 2. At her April examination her accusers—teenaged girls---had collapsed in fits as she appeared but Bishop adamantly denied the charges. “I am not witch—I known not what a witch is.” She was convicted June 2 and hung June 10.
    1731—Birthday of American's first lady: Martha Dandridge Custis Washington. While some have stated this was a standard marriage of “convenience” in its day and age, the truth in the diaries and letters and devotion of both husband and wife supersedes the criticism as they tried to live a private life and maintain a family.

    1883-The first electric elevated railroad began demonstrated at the Chicago Railway Exposition by the Electric Railway Company The total track was 1,553 feet and not permitted to operate until June 9 th and ceased operating on June 23 having 118.75 hours with 1,588 trips, carrying 26,805 passengers, and ran 446.24 miles. It was the first commercial elevated train to operate and considered a success to build a line in Chicago
    1886-The first wedding of a president in the White House was Grover Cleveland's marriage to his ward, Frances Folsom, during his first administration. Cleveland served as president form March 4,1885 to March 4,1898. With the thought he had a second term in the bag, he did not campaign much and lost. He did the next election and served as president again from March 4,1893 to March 4, 1897.
    1891- Charles Garder Radbourn wins his 300 th game beating the Beaneaters at South End Grounds in Boston, 10-8. ‘Old Hoss', who will finish 484 of the 497 games he starts, will end his 11-year career this season with 309 victories.
    1904-Johnny Weissmuller birthday. Peter John (Johnny) Weissmuller, actor and Olympic gold medal swimmer, born at Windber, PA. Weissmuller won three gold medals at the 1924 Olympics and two more at the 1928 games. He set 24 world records and in 1950 was voted the best swimmer of the first half of the 20 th century. After retiring from amateur competition, he appeared as Tarzan in a dozen movies and as “Jungle Jim” in the movies and on television. Died at Acapulco, Mexico, January 20,1984.
    1917 - The temperature at Tribune, KS dipped to 30 degrees to establish a state record for the month of June.
    1925-Native Americans were declared citizens of the United States with all rights. The statute declared “ all non-citizen Indians born within the territorial limits of the United States be, and they are hereby declared to be, citizens of the United States.”

    1938-Gene Krupa records “Wire Brush Stomp,” (Brunswick 8166).
    1941- Rolling Stones' drummer Charlie Watts was born in London. Watts joined the Rolling Stones in January 1963, about six months after the group was formed. He was working in an advertising agency at the time, but had earlier played with Alexis Korner's Blues Incorporated, as had other members of the Stones. Watts has been the backbone, along with guitarist Bill Wyman, of the Rolling Stones rhythm section throughout their 25 year career.
    1941- William Guest of Gladys Knight and the Pips was born in Atlanta. The group was part of the Motown empire in the 1960's, where they had a hit with “I Heard It Through the Grapevine” in ‘67. But the Pips' greatest popularity came in the ‘70s on the Buddah label, where their 1973 gold album “Imagination” yielded three gold singles. Among them was “Midnight Train to Georgia,” which hit number one on the Billboard Hot 100 chart.
