“Yes, we want more business, “ he said, “ We want to grow. Our problem is our turn around time. Right now I am lining everything up for when our Experian project comes fully on board, where it can process, price, and predict in a responsible manner...

 

“Jim fits our position to expand our business, plus get involved in portfolio acquisitions. Companies that are warehousing leases and selling them off in bulk with good credit scoring is our marketplace.

 

“As we start this turn around, buying portfolio’s will take the pressure off the turn

around process here. We had a misstep with ARM**, but learned a few things...I

can’t say enough about Experian, the professionalism, and the product itself.

“Merrilees is with us at the right time and the right place...The key is your source of funds; that you are hooked up to the right horse. Management of the bank has sensible expectations. Twins Engineering currently owns, has entered into conditional purchase agreements or has received irrevocable undertakings to accept, or procure the acceptance of, the Offer in respect of, in aggregate, 23,105,849 IDS Shares, representing approximately 40.63 per cent. of the issued IDS Shares.

 

 

The Increased Offer will value the entire issued and to be issued share

capital of IDS at approximately £15.4 million.

On 9 July 2003, being the last business day prior to the date of this

announcement, Twins owned 11,576,382 IDS Shares, representing approximately

20.36 per cent. of the issued IDS Shares.

 

On 10 July 2003, Twins received irrevocable undertakings to accept, or

procure the acceptance of, the Increased Offer from John Borchers, Sarah

Borchers and Oldwoods Farm Limited Partnership, acting through Richard

Borchers as General Partner, in respect of, in aggregate, 6,097,048 IDS

Shares representing approximately 10.72 per cent. of the issued IDS Shares.

 

Twins has also entered into conditional purchase agreements in respect of,

in aggregate, up to 5,276,756 IDS Shares, representing approximately 9.28

per cent. of the issued IDS Shares, conditional only on the announcement of

this Increased Offer.

 

Accordingly, Twins currently owns, has entered into conditional purchase

agreements or has received irrevocable undertakings to accept, or procure

the acceptance of, the Offer in respect of, in aggregate, 23,105,849 IDS

Shares, representing approximately 40.63 per cent. of the issued IDS Shares.

 

I take that to mean they own 29.46% but controls 40.63%

3.             Background to the Increased Offer

 

On 30 May 2003, Deloitte & Touche Corporate Finance publicly announced the Capital Stream Minnesota Offer on behalf of Capital Stream of 19 pence for each IDS Share, which was unanimously recommended by the Independent Directors.

 

On 26 June 2003, the Independent Directors of IDS withdrew their recommendation of the Capital Stream Minnesota Offer so as to be able to recommend the Original Offer by Twins of 23 pence for each IDS Share, announced on 26 June 2003.

 

On 4 July 2003, Capital Stream announced a cash offer of 24 pence for each IDS Share.

 

In response to this announcement by Capital Stream, the board of Twins has decided to increase its cash offer to 27 pence for each IDS Share.

 

4.             Level of acceptances, irrevocable undertakings and existing holdings

 

As at 3.00 p.m. (London time) and 10.00 a.m. (New York City time) on 9 July 2003, being the last business day prior to the date of this announcement, valid acceptances of the Original Offer had been received in respect of, in aggregate, 6,663 IDS Shares, representing approximately 0.01 per cent. of the issued IDS Shares.

 

Prior to the announcement of the Original Offer on 26 June 2003, Twins received irrevocable undertakings to accept, or procure the acceptance of, the Original Offer from James Horstmann and James Meinen in respect of, in aggregate, 149,000 IDS Shares representing approximately 0.26 per cent. of the issued IDS Shares.

 

On 9 July 2003, being the last business day prior to the date of this announcement, Twins owned 11,576,382 IDS Shares, representing approximately 20.36 per cent. of the issued IDS Shares.

July 11, Robert Baird “disposed” of 4.48% to the IDS Group. Looks

like Summit is getting out of the bidding process. Looks like the Twins

Engineering is sewing this up, and any lawsuit in the United States

will grow old before the fact, if it really was not just posturing.

 

Customers of Decision Systems must be heartened by the desire

of management of their product and services. Perhaps all of

this is a sign from the accounting software side that equipment

leasing is on its way back. Hooray!!!!

The Interchange Group (TIG).

This company based in Las Vegas Nevada has promised to

provide a loan of USD 5 million for our project based

here in Uganda. They say they are not Brokers but

direct lenders. Kindly let us know if this is a

genuine company with a good lending background so that

we can go a head and deal with them.

(There is an Interchange Group that has a web site. It is based in the UK and appears to be involved in management. Perhaps one of our readers has heard of the company. The first thing I ask does their literature show they are a member of a leasing association. You can learn more about them, if they are, plus it gives to me creditability that they are “serious.” Second, do they have

a web site, as that might have information. The third, check out www.bbb.com. click on search for a company: http://search.bbb.org/search.html Then follow

the directions ( basically, you are looking to see if there are any complaints; you are looking for “bad news.”) Fourth, for this amount of money, I would have a service such as Experian business or Dun & Bradstreet run a report. As a non-member, it may cost you over a $100, but that is cheap compared to what you are getting into. Or if you know your banker, ask them to run a report or find out about Interchange Group in Las Vegas, Nevada.

By the way, BBB does have Interchange Group listed. They also joined BBB in

    1864-Confederate General Nathan Bedford Forrest suffers his biggest defeat when Union General Andrew J. Smith routs his force in Tupelo, Mississippi. Sherman's supply lines in Tennessee. Hoping to neutralize Forrest, Sherman sent Smith's expedition to destroy Forrest and his cavalry. Smith left LaGrange, Tennessee, on June 22 with 14,000 troops. Forrest and his cavalry were part of a 10,000-man force commanded by General Stephen Lee, but Forrest and Lee shared command responsibilities. Forrest's strategy at Tupelo was similar to his tactics at the Battle of West Point, Mississippi, five months earlier. In both battles, Forrest used part of his force to entice the Yankees into a trap. The plan worked well at West Point, but in Tupelo Smith did not take the bait. Instead of driving right at Forrest, Smith dug his troops in around Tupelo. Lee and Forrest were uneasy about attacking the Yankees, but they agreed to try to drive Smith out of Mississippi. The assault began on the morning of July 14. Smith's Union troops were in an ideal position for fending off an attack. The Confederates had to fight uphill across nearly a mile of open terrain. Lee struck one flank and Forrest struck the other. Poor communication ruined the Rebels' coordination, and after three hours they had not breached the Union line. Although Lee was the ranking Confederate, he had offered Forrest command of the battle. Forrest declined, but assigning blame for the defeat is difficult. Union losses stood at 674, while Forrest and Lee lost over 1,300 soldiers.

    1918-Birthday Jay Forrester, a pioneer in computer memory. Forrester studied at the Massachusetts Institute of Technology, where he later became a professor and researcher. In 1945, he founded MIT's Digital Computer Laboratory and helped build an early digital computer called the "Whirlwind I." His work at the lab made him realize that existing information storage techniques were slow and, even worse, unreliable. In 1949, he developed a way to use a magnetic cell to store information. The random-access magnetic core memory became a central feature of most digital computers. Forrester later applied computer science to management problems, creating computer simulations of real world problems in manufacturing and other processes

    1923-birthday of Frances Lear, U.S. publisher of Lear Magazine for "the woman who wasn't born yesterday." It failed.     1981 - When the All-Star Game was postponed because due to a players strike that had lasted 33 days so far, about 15,000 fans showed up to boo the players, who were not there. The 52nd All-Star classic would not be held until August 9th, and would take place at the Cleveland Municipal Stadium.

    1985 - Baltimore clinched their second consecutive United States Football League championship when they defeated Oakland 28-24. The game was also they last of the league's spring schedule. All 14 teams totaled losses estimated at $63 million. When team owners refused to tally up any more financial losses, the USFL faded away. Plans for the league to resume in the fall of 1986 were never brought up.

    1987 - The All-Star Game had its second-longest game in history when it took the National League 13 innings to defeat the American League in a 2-0 shutout. Played in Oakland, California, the game lasted 3 hours, 39 minutes.

    1987 - The Directors Guild of America initiated a strike in Hollywood, California, against Warner Brothers and Columbia Pictures at 6:00 a.m. At 6:05 a.m. on the same day, a film and television contract of agreement was reached, putting an end to the shortest strike in Hollywood history.
