Professional Leasing Trial by Christopher Menkin It was on June 21,2002,
forty FBI agents raided the offices of RW Professional Leasing in Island
Park, NY, on Long Island. Prosecutors said
RW Professional Leasing Corporation concocted elaborate schemes
using up to 100 rented mailboxes as far away as California to send phony
checks, sham invoices, bogus leases and other false documents to banks
in various states. Based on those documents, the banks lent RW millions
of dollars to buy equipment and lease it out, prosecutors said. The schemes included
multiple loans from different banks for the same medical equipment and
loans for equipment that was never bought or leased, prosecutors said. It is said it may go higher than $200 million,
including the American Express-Sierra Cities portfolio. Vendors, brokers,
attorneys, and others are owed money.
There may also be “brokers” and others to be named in the scheme. One of
those arrested later, Payaddi Shivashankar may have pleaded guilty to
turn state’s evidence, and perhaps another key is Stephen Barker of
Lake Forrest, California, who is very well-known both in the medical
community and the leasing industry. He may wind up being a key witness
in the methode operandi of RW Professional Leasing. Reportedly,
Barker told colleagues what he did to help Barry Drayer with alleged false invoices,
cashier checks and mail boxes was part of the routine. He reportedly
faces nine counts. He told his
colleagues he did not think he had really done anything wrong. As the
story goes, he originally thought when the FBI called him, he thought
the interview with them went very well and there was no problem. When
was told that he would arrested,
the call from the FBI came in on his "private" cell phone
number. It surprised him, he told colleagues. His operation was doing about $12 million a year, mostly on new practices,
and as one of the top five brokers for RW Professional, they handled
the payments to vendors and had trust agreements. Accordingly, “every
penny” that came in and went out was accounted for. His father Tony,
now on a religious mission in South Africa, helped in the book keeping. The difficulty appears in the “sale/leaseback” program that RW Professional
was marketing, but reportedly did not exist at the level promoted. After
the money was disbursed, it was the Drayer operation that places the
leases with banks, and according to the charges, sometimes the same
lease with several banks, and sometimes the equipment did not exist. There is evidently also a history with Old Kent, CIT, Sierra Cities,
and American Express that is very similar, according to many sources as reported in Leasing News. Barker now flies back and forth to New York, spending much time with
attorneys and believes he will be found innocent of any involvement
that was directed by the Drayers. Here is the latest
from the Pacer Service Center
on what is happening: “Letter MOTION for
Bail as to Dft Barry Drayer - After discussion with AUSA Geoffrey Kaiser,
he has agreed to reduce our client's bail to the funds realized by Barry
Drayer in his sale, plus the continued pledge of his sons home. That
amount should total $627,000.00. Therefore, we request the Court Order
that the present mortgage of the govt on the property at 4 Hewins road,
Wellesey, MA be discharged upon the sale of the property and that the
proceeds be deposited with the govt as continuing security for Mr. Drayer's
bail. We request that our client's bail be reduced to $610,000.00, which
will be covered by the sale proceeds and Andrew Drayer's residence.
In addition, upon the sale of the property we request that Mr. Drayer's
pre-trial supervision be transferred to the appropriate pre-trial office
which covers Mr. Drayer's new residence at ( *** although a public document,
address is being deleted by us. editor) As represented to the Court
in prior applications and Court appearances, Mr. Drayer's wife now works
for St. John Baptiste Roman Catholic Church in NYC, and Mr. Drayer will
be joining her in that apartment. As the court is aware that is the
residence in NYC where our client has resided for the last approximately
two and one half years. We also request that if the Drayers wish to
use the funds deposited with the govt to purchase another residence,
that the Court allow said purchase, with the consent of the govt, and
the substitution of the new residence as security for Barry Drayer's

defendants, including five employees and principals of defendant RW
PROFESSIONAL LEASING SERVICES, INC. ("PLS"), and a former
branch manager for The Bank of New York at a retail branch in Island
Park, New York, were charged in March in a superseding indictment (1)
with federal crimes in connection with a scheme to fraudulently induce
financial institutions around the country to extend $28 million in loans
to PLS, a former Bank of New York customer. The individual defendants
charged in the superseding indictment are PLS principals BARRY DRAYER
and ROCHELLE BESSER; PLS employees ADAM DRAYER, ROGER DRAYER and SUSAN
COTTRELL; MYRNA KATZ, a former Bank of New York branch manager; and
STEPHEN BARKER, who, as the owner of a California financing company
known as Carefree Financial Services, allegedly recruited medical providers
to obtain financing through PLS. BARKER was arrested in California. The Scheme to Defraud The superseding indictment
charges that PLS, which maintained business locations in Island Park,
New York, and Wellesley, Massachusetts, obtained loans from financial
institutions, including FDIC-insured banks (collectively, the "funding
institutions") for the purported purpose of financing purchases
of medical equipment and then leasing that equipment to medical providers.
The leases and medical equipment were supposed to serve as collateral
for the loans made by the funding institutions. According to the
indictment, PLS, BESSER, BARRY DRAYER, ROGER DRAYER, ADAM DRAYER and
COTTRELL (the "PLS defendants"), KATZ and BARKER obtained
the loan proceeds under false pretenses. Specifically, the PLS defendants
and BARKER misrepresented the actual purpose of the financing which,
in many cases, was not used to purchase medical equipment at all, but
was instead used by medical providers as working capital. Since working
capital loans, which were not collateralized by medical equipment or
medical equipment leases, were not favored by the funding institutions,
the defendants provided the funding institutions with phony documentation
creating the false appearance that the medical providers were leasing
medical equipment purchased by PLS, that the financing was needed for
that purpose, and that the funding institutions would have an undivided
security interest in the lease and the medical equipment. The PLS defendants
and KATZ also falsely represented that The Bank of New York (hereinafter
"BONY") would act as escrow agent for certain of the funding
institutions. The BONY Escrow Agreements The government alleges
that the FDIC-insured funding institutions (the "bank funding institutions")
required that PLS execute escrow agreements in connection with each
loan. Each escrow agreement required the establishment of an escrow
account in which lease payments would be deposited and held in escrow
by BONY as escrow agent for the bank funding institutions. The escrow
agreements required BONY, among other things, to disburse the funds
on deposit in the escrow account in accordance with a particular payment
schedule and only to the bank funding institutions that were financing
the leases identified in the escrow agreements. The indictment charges
that KATZ, for the purpose of inducing the bank funding institutions
to make loans to PLS, executed and supervised the execution of numerous
escrow agreements for BONY between 1991 and 1998, fully aware that she
was not authorized to do so and that BONY policy prohibited BONY retail
branches from establishing escrow accounts. The indictment also charges
that KATZ and the PLS defendants knew that the escrow accounts would
not be maintained pursuant to the terms of the escrow agreements, that
the lease payments would not be forwarded by BONY to the bank funding
institutions, and that BONY would not actually perform any of the other
obligations assigned to it as escrow agent in the escrow agreements.
According to the
superseding indictment, the PLS defendants fraudulently obtained and
converted at least $28 million of loan proceeds and lease prepayments
through the fraud scheme. "We will not
hesitate to prosecute wrongdoers to protect the public from abuse of
our financial institutions," stated United States Attorney ROSLYNN
R. MAUSKOPF. "In this case a bank employee violated a position
of trust, and thereby enabled PLS, the PLS defendants and BARKER to
plunder the banking system for their own personal gain. Now they must
face the consequences." Ms. MAUSKOPF emphasized that the investigation
is continuing. FBI Assistant Director-in-Charge
PASQUALE J. D'AMURO stated, "This scheme induced banks to advance
millions of dollars in what they believed to be secured loans for equipment
financing, when in fact the loans were entirely un-collateralized. The
defendants misled the lending institutions through blatant fabrication
and deception, putting the banks and their depositors at risk." The Charges and Maximum
Sentences Each defendant is
charged with conspiracy to commit bank fraud and wire fraud. (2) In
addition, PLS, BARRY DRAYER, BESSER and BARKER are charged with conspiracy
to commit money laundering; PLS, BARRY DRAYER and BESSER are charged
with multiple counts of bank fraud; BESSER and KATZ are charged with
making false statements to an FDIC-insured bank; and KATZ is charged
with issuing bank obligations without authority. The charges carry the
following maximum terms of imprisonment -- conspiracy (five years),
unauthorized issuance of a bank obligation (30 years), false statements
to an insured bank (30 years), conspiracy to commit money laundering
(20 years) and bank fraud (30 years). On each count of conviction, each
defendant faces a maximum fine of $250,000 or twice the gross gain or
loss resulting from the offense, whichever is greater; the payment of
restitution; and a maximum of three years supervised release (conspiracy
charge) and five years supervised release (bank fraud, false statements
and issuing obligations without authority charges). PLS faces a maximum
sentence of five years probation and a fine of $500,000 or twice the
gross gain or loss resulting from its offenses, whichever is greater,
and the payment of restitution. The indictment also seeks forfeiture
of any and all property of each of the defendants constituting or derived
from proceeds traceable to their offenses, which is valued at a total
of at least $28 million. The government's
case is being prosecuted by Assistant United States Attorneys Geoffrey

FBI, and the Irvine Police Department. When the Irvine Police
Department went to talk to them, they got scared I guess and sent me
back my $5,000 check. They still
would not refund my other money and they have called on several occasions
asking would I be interested in financing something with them. “I said NO! “The FBI informed
me that the amount was too small for them to do anything about and to
just write it off. I talked to my local Sheriff (North Carolina )and
the local detective and that said it was all fraud but that they could
not cross the state lines to do anything.
They told me not to cash the $5,000 check and I have not. I tried
to contact lawyers to sue and their costs are more than the amount I
lost. I was then told about
you and that is why I am contact you.” First, cash the check
and write above your endorsement, “Accepted without prejudice.” Two, we will contact
the leasing broker and learn their side to the story. _____ #2 Broker refused to
return $4,000 deposit to applicant, who states he applied
for a lease for his twelve year old company without a personal
guarantee. Broker states the
funder ran a Dun & Bradstreet
report that shows the president had a former company that went
bankrupt. Applicant states it is not true, but will not supply
personal information as original intention was no personal guarantee.
Broker claims president was not telling the full
truth when he submitted the application to him and therefore
he is entitled to keeping the deposit. #3 For the sake of this
report, the name of the leasing company is “XYZ Leasing” April 3, 2004 “I am making a formal
complaint against an equipment leasing company namely XYZ Leasing that
failed to provide the necessary funding for our medical exercise equipment
in February 2004. “I was told to write
to your news editorial about a recent experience in leasing equipment.
I recently got involved with a company out of Southern California called
XYZ Leasing. My account rep by the name of
****** approved our company of 18 years and 15 million in annual
sales a $160,000 for four restaurant equipment packages. We were
sent a lease agreement and told to overnight it back with $9,500 included.
The money we sent to them was for first, last, and UCC filings.
At the time of the agreement, the agreement stated that they would issue
purchase orders to our vendors within two days. With this agreement
executed we acted in good faith and had our equipment dealer out of
***** ship our equipment before he received his purchase order.
After a month of cashing the check that we sent to XYZ Leasing our equipment
vendor has not been paid. Now when I call XYZ Leasing they seldom
answer the phone and **** has
now told me that the money was not funded as per our lease agreement.
When I do reach him, Chad constantly tells me that he is still waiting
to hear from underwriting. After researching this company more
I have found that *********
have been doing this deceitful and fraudulent act on many other companies
before us. I was to report this hideous act to your company.
Because of this act, the small vendor, ******** is at the brink of a
cash crisis.

all the documentation and spoke to the president of XYZ Leasing, who
said he would “take care of it.” He called back and
said this was not as simple as it appears, and said he believed they
could handle the transactions into
four leases. June 23 “I e-mailed you before
about a transaction ******* did with XYZ Leasing which we sent them
aprox. $9500.00 for deposits for a $160,000.00 equipment package.
Aprox. 3 weeks ago you had ******* ******** get involved in this transaction
to make sure we weren't getting scammed. He assured me over a
phone call that his company would get these deals funded or refund my
deposit. It has now been 7 weeks since XYZ Leasing has cashed
our deposits and the deals are still not funded. I still am getting
the run around as to what exactly is going on with these leases.
I would appreciate it if you could look into this matter for me.
We have already sent you a copy of our original lease that we signed
with XYZ Leasing along with a cancelled check. Thanks for your

of XYZ Leasing got back to us, explained some of the difficulties
was having and stated: “If we are unable to move --- #4 This has been going
on since May 6th, and at last contact, has not been resolved.
I tend to believe the president of the leasing company and the head
of the broker division, but the broker involved also appears to have
a legitimate complaint. There were several
suggestions made, and I thought time might heal the wounds, but apparently
note. If it is not settled in
ten days, we will print both sides and let readers make up their own
minds. A leasing broker
believes a funder gave his lease to their direct sales force. He submitted a lease, had it approved, but unknown to him, a direct
salesman also contacted the same lessee with a lower rate. Somehow, when the broker was away, perhaps
at the NAELB conference, the contracts
arrived to the lessee, who noted the terms were changed and monthly
payment, too. The direct salesman told him to sign “or else,” reportedly
using “foul” language and threats to sign the lease or lose it. So the lessee signed the lease, and it was funded as they had the
equipment. When the broker found
out, he hit the roof, and talked to the lessee, plus learned the rate
was much higher than he quoted as the terms had been changed (an old
trick.) He wanted the lease “unwound” or his $3,500
commission he would have earned. The president of
the company along with the broker manager looked into the complaint.
Allegedly the applicant had been on their list of calls since the year
2000, and the person who closed it was a “part-time college student.” He was reportedly “severely reprimanded” for
his language and the way the transaction was handled. The funder agreed to unwind the lease However, the broker

in the group's blues-based songs. The Jeff Beck Group broke up after

put out two more LPs before Beck formed a band with two former members
of Vanilla Fudge, Tim Bogert and Carmen Appice. But that group dissolved
as well, in 1974. Beck then began playing fusion music, often in collaboration

He was defeated in the 1948 election by Harry S. Truman, Roosevelt’s
vice-president who assumed office after the death of the president in
office. The newspapers of the
day had printed up early morning editions that “Dewey Won,” but Truman
who stomped for election all over the United States pulled one of the
biggest American political upsets. He won 24,104,836 popular votes to
Dewey’s 21,969,500; the electoral vote was 304 to 189. Dewey actually received 22,006,285 votes in
1944 but only 99 electoral votes. In the 1948 election, Strom Thurmond, States
Right Democrat, 1,169,312; Henry A. Wallace, Progressive, 1,157,172,
which pollsters said would draw votes from Truman
in the South. The key was Truman
