Federal Reserve Beige Report—Signs of Improvement/Optimism

Reports from the twelve Federal Reserve districts indicate that the economy continued to improve in July and August. Eleven districts say that activity levels increased during the summer. In some districts, improvement occurred in selected sectors, and in others, it was broad-based. Even in the Dallas district, where activity remains generally weak, contacts are said to be more optimistic.

Positive Attitude Towards Business Opportunities Prevail at ELA Executive Committee meeting

Companies are thinking Offense and External rather than Defense and Internal.

 

The Equipment Leasing Association Executive Committee held its annual planning meeting in Colorado August 18–20, 2003. ELA Chairman Ed Dahlka convened the meeting of thirteen officers and directors for an initial discussion of the state of market segments, products and companies. The executive committee represents a cross section of companies and markets in the association. The discussion was the most positive discussion in two years. The most frequent general comment was that “business is good, not strong, and things are going in the right direction now”.

 

The following are general observations from the discussions.

 

- While business is back, it is not as profitable. There still is a lack of pricing power in the markets because there are “ten dogs on every bone”.

- Capacity is somewhat constrained by credit and concentration considerations.

- Funding is available for good deals and / or companies.

- The middle market is dominated by strong balance sheet companies. There are more barriers to entry as the market can only afford “so many mouths at the table”.

- The economic downturn squeezed out the marginal business and poor business models.

- 2003 losses will be much lower than in 2002.

- Noticeable entry of small and smaller regional banks into the business – small ticket and low end middle market.

- Lessors have not capitalized on the poor economy. They became used to a robust economy through 2000 and were not prepared to do a pure leasing business. The FMV business is not being pushed enough. It is easy to do a “debt oriented” business, but that is not a good business. The “debt oriented” product takes away the upward profit potential and the leasing differentiated and visibility.

- Banks demand a huge “tax bang” from their leasing subsidiaries and loans won’t do the job.

- If ever there was a time for expansion of a FMV product, now is the time.

- The funded domestic Large Ticket market is weak but the QTE, lease to service contract and cross border markets are good.

- Accounting regulations, federal and state tax legislation and Basel II are biggest challenges to leasing companies today.

 

Woven through this discussion is the concern that equipment leasing could lose its edge. Over and over the question was raised, “is there entrepreneurial ship in the business today?” When a question is asked this often, doubt is the obvious answer. The pure leasing product has important attributes that are creative and entrepreneurial, however, leasing companies and ELA may not be doing enough to promote the value of these attributes and differentiate them from loans. There was discussion that certain accounting standards and federal tax initiative may not only push, but require lessors to move towards a more pure leasing oriented business.

 

With all of these discussions as background, the executive committee went on to plan a proposed 2004 Strategic Program of Work for ELA. The ELA will act on the proposed plan and budget on October 11. The Highlights include:

 

- Additional resources for two program areas of highest importance – Advocacy and Business Development. Expansion to include:

- Greater grassroots participation by members in legislative and political efforts of ELA.

- Greater use of external issue analysis consultants and legislative action personnel at both the federal and state levels.

- External market opinion research into companies’ attitudes towards the leasing product and its attributes.

- An Equipment Leasing advertising supplement, an advertorial, to be included in most likely a spring edition of Fortune.

- Expanded research into the various business and market impacts of proposed accounting standards changes.

- Strengthen the level of responsibility of the Business Council Steering Committees so that distinct needs of various industry segments can be better articulated and value provided. Improve the quality of customizing programs and services.

- Confirmed ELA’s opposition to federal and state initiatives to codify what constitutes Economic Substance in an activity or transaction because it could result in unintended consequences such as narrowing business or causing confusion. However, the Executive Committee did direct that ELA resources should be used to influence the definition of economic substance if law makers do indeed proceed with legislation.

- Add a Bank Leasing Conference.

- Through the use of technology, expand current conferences or segments of current conferences to more people deeper into member companies.

- Continue the market strategy of focusing on increasing the value of ELA programs to existing members through wider participation in and interaction with the services of the association.

- Approve a 2004 budget of $8.55 million in revenue and $8.5 in expenses.

Suit Filed Against Former Senior Executives of DVI

 

 

The law firm of Milberg Weiss Bershad Hynes & Lerach LLP announced that a class action lawsuit was filed on September 3, 2003,on behalf of purchasers of the securities of DVI, Inc. between November 7, 2001 and August 13, 2003, inclusive (the Class Period), seeking to pursue remedies under the Securities Exchange Act of 1934 (the Exchange Act). A copy of the complaint filed in this action is available from the Court, or can be viewed on Milberg Weiss' website at: http://www.milberg.com/cases/DVI/.

 

The action is pending in the United States District Court for the Eastern District of Pennsylvania, against Defendants Michael A. O'Hanlon, former president and CEO and director of DVI, and Steven R. Garfinkel, DVI's former CFO.

 

The Complaint alleges that defendants violated Sections 10(b) and 20(a) of the Securities Exchange Act of 1934, and Rule 10b-5 promulgated thereunder, by issuing a series of material misrepresentations to the market between November 7, 2001 and August 13, 2003. According to the complaint, throughout the Class Period, Defendants engaged in a fraudulent scheme to deceive the public as to DVI's true financial condition. Defendants allegedly issued positive statements regarding DVI's business and operations, and overall growth in publicly disseminated press releases and SEC filings and claimed that they were a fair presentation of DVI's business. According to the complaint, Defendants failed to disclose material adverse facts, including, but not limited to, the Company's failure to write down the value of certain impaired assets; its failure to properly account for and report non-recurring transactions; its failure to adopt adequate internal controls; and its material overstatement of its assets and earnings. As a result of Defendants' fraudulent scheme, DVI stock became artificially inflated during the Class Period, trading as high as $20.99 per share on June 17, 2002, thereby causing damages to Class Period purchasers of DVI securities.

 

On August 13, 2003, after the market closed, Defendants issued a press release revealing DVI's intention to file for Chapter 11 Bankruptcy protection and that the Company had not yet secured debtor-in-possession financing. The Company blamed its dire situation on the "recent discovery of apparent improprieties in its prior dealings with lenders involving misrepresentations as to the amount and nature of collateral pledged to lenders." In the same release, Defendants announced that DVI's Chief Financial Officer, Defendant Garfinkel, had been placed on administrative leave. This revelation came after Defendants announced that DVI's auditor, Deloitte & Touche LLP, had resigned over a dispute concerning the Company's accounting for certain transactions; that the Company had depleted all availability on its credit facilities; that DVI failed make interest payments on its 9 7/8 percent Senior Notes due to severe liquidity constraints; and that the SEC had rejected the Company's filing of its quarterly report for the third quarter of 2003. Immediately following the Company's announcement that it would file for bankruptcy, on August 14, 2003, the New York Stock Exchange suspended trading of DVI stock and Senior Notes, pending delisting. On the same day, DVI stock closed at $0.30 per share, representing a one-day decline of 62.50 percent.

    1848-Birthday of African-American Lewis H Latimer, inventor and engineer, died-1928

    1862 –General Robert E. Lee crosses the Potomac and enters Maryland. It is

his mission to bring the war to Northern territory, gain the sympathy of the

growing population who wants “peace”, “negotiations,” and his main thrust

is to take the White House as the British did in the War of 1812. President

Lincoln had named General Henry W. Halleck on July 12 commander in chief of

the Union armies. Known as “Old Brains” due to his West Point education,

author of military strategy and administration. He graduated third in his class, 1839 (Lee graduated second in his class, 1929). Before the war, he had been

a successful California attorney and admired by Lincoln, also an attorney.

Lincoln was one of his biggest supporters. Lee was not, and knew him to

be a very conservative, “by the book” man, which he was, and was held

in great disdain by the other Union generals, especially after his lack of

defense of Washington and the war went very badly under his command,

in fact, Lincoln was not expected to be re-elected president and it was not

until he appointed U.S. Grant as Commander-in-Chief did the war turn

around. Lee with his limited resources and much smaller, not very well

equipped troops ( many toward the end of the war without shoes and army uniforms, meaning they also wore the same clothes for months, dwindling provisions) were bringing the war to the North, winning the war, until the Confederates stumbled into a Union troops in Gettysburg on their march to Washington. Grant quickly re-grouped, the Confederates had definite

communications problems and General Longstreet lost his nerve. With Grant in charge, whose main plan to was to cut the South off by ocean, river, major highway from food, commerce, and being re-enforced, and with Naval blockades

run by a 63 year old fearless Admiral Farragut and a ruthless General Sherman, turned the tide of the war. Halleck was one of the main reasons General George McClellan ran as the Democratic nominee against Lincoln in 1965, as Halleck had maneuvered McClellan from his job. This also further politically cemented Lincoln’s back of his commander-in-chief.

    1882-The first successful Dynamo was put in operation, Jumbo No. 1. a direct-current steam dynamo, which was build in 1881 by the Edison Machine Works,Goerck Street, New York City. It weighed 27 tons, 6 tons of which was the armature. When the armature was air-cooled, the dynamo’s capacity was 700 lamps of 15-candlepower each. That same Saturday evening, the Edison Electric Illuminating Company of 257 Pearl Street, New York City turned on its one engine, which generated power for 800 electric light bulbs. Within 14 months, the service had 508 subscribers and 12, 732 bulbs.

    1883- ten year old Barney Flaherty, according to history, became the first “newsboy in the US by answering the following classified advertisement which appeared in the New York Sun: “ to the unemployed—a number of steady men can find employment by vending this paper.     1888- George Eastman of Rochester, NY, received a patent for a fix-focus box camera, that had a lens fast enough to make instantaneous exposures. What made it so unique, it is it used a “roll of film” of 1000 exposures and took at round picture 2.5 inches in diameter. It also did not require a table or tripod for support.

    1967 - "Gilligan’s Island" began its 98-show run on CBS, premiering on September 26, 1964 and last episode was today in 1967. It is still shown in re-runs and remains popular.Seven people set sail about the Minnow for a three-hour tour and became stranded on an island. The used the resources on the island for food, shelter, and entertainment.     1967- The U.S. 1st Marine Division launches 1Operation SWIFT, a search and destroy operation in Quang Nam and Quang Tin Provinces in I Corps Tactical Zone (the region south of the Demilitarized Zone). A fierce four-day battle ensued in the Que Son Valley, 25 miles south of Da Nang. During the course of the battle, 114 men of the U.S. 5th Marine Regiment were killed while the North Vietnamese forces suffered 376 casualties.

    1969- After thirty-one games, the third longest consecutive game hitting streak in National League history ends as Dodger Willie Davis is stopped in a 3-0 loss to the Padres.

    1971 - "The Lawrence Welk Show" was seen for the last time on ABC-TV. ABC felt the show attracted “too old an audience ... not good for attracting advertisers.” Syndication allowed the champagne music to continue until 1982 as a weekly favorite for millions of people. Welk charted a half-dozen tunes on the pop music charts between 1956 and 1961, including the number one song, "Calcutta", in 1960.

    1972 - Swimmer Mark Spitz captured his seventh Olympic gold medal in the 400-meter medley relay event at Munich, Germany. Spitz became the first Olympian to win seven gold medals.

    1973-John Ehrlichman and G. Gordon Liddy were indicted along with two White House officials in connection with the burglary of the office of Daniel Ellsberg’s psychiatrist in 1971. The action had been instigated by the so-called White House plumbers’ unit, created to stop security leaks, following Ellsberg’s release of Pentagon documents to the press.

    1991- Removing an asterisk which really never existed, the Statistical Accuracy Committee decides to put Roger Maris '61 home run season ahead of Ruth's 60 mark instead of listing it separately as it was from 1962 until 1991. The eight man panel also re-defines a no-hit game as one which ends after 9 or more innings with one team failing to get a hit thereby removing 50 games from the list that had previously been considered hitless, including the 1959 performance of Harvey Haddix's 12 perfect innings against the Braves and Jim Maloney's 1965 1-0 loss to the Mets in 11-innings.

1995- Robin Ventura becomes the eighth player to hit two grand slams in one game helping White Sox to beat the Rangers, 14-3.

    1997 - The 14th MTV Video Music Awards show was staged at Radio City Music Hall. Host Chris Rock introduced Madonna, U2, Beck, Jamiroquai, The Wallflowers with Bruce Springsteen & Marilyn Manson. Most memorable moment: Sting joining Puff Daddy & Faith Evans to perform "I’ll Be Missing You".

    1999- The Reds set a National League record with nine homers with as they rout the Phillies, 22-3. Eddie Taubensee (2), Greg Vaughn, Jeffrey Hammonds, Aaron Boone, Dimitri Young, Pokey Reese, Brian Johnson and Mark Lewis all go yard for Cincinnati.

    2000- The Red Sox honor Hall of Famer catcher Carlton Fisk. The New Hampshire resident,who played his first nine seasons with Boston, joins Bobby Doerr (1), Joe Cronin (4), Carl Yastrzemski (8) and Ted Williams (9) in having his number (27) be retired at Fenway.

    2002- In front of 55,528 fans at Coliseum, the A's set an American League record by extending winning streak to 20 consecutive games. After blowing an 11-run lead to the Royals, Scott Hatteberg's bottom of the ninth inning walk off home run gives Oakland the historic victory, 12-11.
